光船租赁权法律问题研究

【摘要】：光船租赁权作为一种法律权利,产生于光船租赁这一租船运输活动,它是光船承租人与光船出租人签订光船租赁合同后才具备的一种占有、使用船舶的可能性。其起源于德国1951年《船旗法》,最初是伴随着方便旗的产生而出现的,历史较为悠久,但近几十年来才真正迅速发展起来。相较于其他租船运输所产生的权利,它具有一定的复杂性和特殊性,有着广阔的发展前景。但实践中会由于光船租赁权登记以及相关权利制度的不完善而导致交易风险的产生,且至今世界上没有一个关于光船租赁权的国际公约,这非常不利于光船租赁业的发展与国际航运业的统一。因此如何定位好光船租赁权及平衡好光船租赁权和其他权利的关系等,成为了一项新的法律课题。同时鉴于我国《海商法》的修订呼声高涨,该权利是必不可少的修改与完善的内容之一。本文结合大陆法系与英美法系不同国家的立法及判例,对光船租赁权作了较为全面的理论梳理与研究。全文分为六个部分：第一章权源论,首先对光船租赁权进行了界定,其次分别论述了其事实权源和法律权源。从比较法的角度考察了当今国内外对光船租赁的不同立法状况；分析了光船租赁合同的判断标准,并对光船租赁合同法律关系等问题进行了解析。第二章研究了光船租赁权的要素,对其主体、标的、内容分别予以论述。第三章作为核心,重点研究了光船租赁权的属性,从一般财产租赁权的内涵与性质入手,摒弃了传统上租赁权作为债权的僵化理解,指出其物权的属性,由此对作为租赁权之一的光船租赁权进行了定性探讨,认为在海商法中其应作为一种船舶用益物权,并进行了创设船舶用益物权的学理分析。第四章公示论,研究的是光船租赁权的登记制度。首先论述了光船租赁权登记存在的合理性与必要性,指出对光船租赁权进行登记是我国海商法的立法选择。其次介绍了光船租赁权登记的产生与发展状况,并对各国立法进行了横向比较和对我国立法进行了纵向考量。然后对登记的效力、对象和性质进行了进一步考察。本章最后涉及到光船租赁权登记的程序,力图从理论与实践的结合,从宏观与微观的不同角度解决该登记制度存在的缺陷。第五章关系论,首先探讨了光船租赁权作为一种船舶用益物权,其与船舶所有权的关系、与船舶担保物权冲突时的顺位问题；并通过比较分析与光船租赁权存在密切关系的船舶融资租赁权,得出船舶融资租赁权也应作为一种船舶用益物权,但不能等同于光船租赁权。尤其是针对当前船舶融资租赁权登记依据光船租赁权登记的规定来处理问题这一情形,提出应单独设立相关配套制度,使之不再完全参照光船租赁权的规定。第六部分结论,总结了本文的主要观点、缺陷与不足。本文通过深入分析光船租赁权及其相关理论,并结合实践程序提出一些建议,以期对光船租赁权的完善与发展有所裨益。

At the same time, in view of the rising demand of the revision of China's maritime code, this right is one of the essential contents of modification and perfection.
This combination of legislation and jurisprudence of civil law and common law in different countries, the Charter of the ship made a theoretical carding and comprehensive research. This paper is divided into six parts: the first chapter on the first power source, the bareboat charter is defined, then discussed their facts right and legal right to the source of the source study at home and abroad. The fourth chapter is the research on the publicity, the right of bareboat charter registration system. The paper first discusses the rationality of bareboat charter and the necessity of registration exists, pointed out to the right of bareboat charter registration is the legislative choice of Chinese maritime law. Secondly introduces the emergence and development of bareboat charter registration status, and to compare the legislation and legislation in our country are longitudinal considerations. Then the validity of registration, for the further investigation object and nature. At the end of this chapter involves the bareboat charter registration procedures, trying from the combination of theory and practice, to solve the defects of the registration system from the macro and micro angles. The fifth chapter is on the relationship between, First discusses the bareboat charter ships as a usufructuary right, its relationship with the ownership of the ship, and the ship security interests conflict a problem; and through the comparative analysis has a close relationship with the Charter of the ship ship financing lease, the ship leasing rights should also be used as a ship usufructuary right. But can not be equated with bareboat leasehold. Especially for the ship leasing rights based on the registration of bareboat charter registration regulations to deal with this situation, we should set up a separate supporting system, which is no longer entirely according to provisions of bareboat charter. The sixth part is the conclusion, summarizes the main viewpoints of this paper. The defects and shortcomings.
Based on in-depth analysis of bareboat charter and related theories, and combining with the practice procedure, this paper puts forward some suggestions, so as to benefit the improvement and development of bareboat charter.
