论记名提单下无单放货纠纷的法律适用

【摘要】:记名提单(straight bill of lading)是指提单正面收货人一栏内载明特定的人(或公司)的提单。由于各国关于记名提单的法律规定存在诸多不同,在发生记名提单纠纷特别是记名提单无单放货纠纷时经常会引起法律适用的确定问题。随着海运实践的发展,关于记名提单下无单放货的纠纷和争议在近期内还会加剧,故本文结合国际私法中解决涉外民商事法律冲突的方法,并运用大量实证和比较的方法对记名提单下无单放货的法律适用进行了探讨。 首先,,文章阐述了记名提单的概念,各国关于记名提单的规定,以及记名提单的法律性质。在分析比较各国关于记名提单的不同规定的同时,着重分析了记名提单在我国《海商法》中的地位与功能,并明确指出了记名提单与提货凭证的关系:在我国,据《海商法》第四章,记名提单下承运人也必须凭单放货。 其次,文章阐述了记名提单下无单放货定性的相关问题。在分析比较各国相关法律中记名提单下可否无单放货的不同规定的同时,着重运用实证主义并结合前一部分的论述,指出我国记名提单下不允许承运人无单放货;然后对记名提单无单放货纠纷进行定性(或称识别)。文章主要结合“提单功能阶段论”指出记名提单无单放货纠纷应定性为合同纠纷,违约纠纷而非理论界、司法界一些人士认为的侵权纠纷。 再次,文章阐述了记名提单下无单放货纠纷的法律适用。第一部分,在正确将记名提单下无单放货纠纷定性为合同纠纷的基础上,首先指出有关纠纷应适用于海上货物运输合同的冲突规范,根据所选择的冲突规范,可导出应适用的实体规范。而关于冲突规范的系属公式,记名提单无单放货这一违约纠纷主要适用于意思自治原则和最密切联系地原则;其次文章对意思自治原则的含义、
[Abstract]:A straight bill of lading is a bill of lading in which a particular person (or company) is specified in the front of the bill of lading. In the event of a bill of lading dispute, especially when a bill of lading is delivered without a bill of lading, it often leads to the determination of the application of the law. With the development of shipping practice, disputes and disputes concerning the delivery of goods without a bill of lading under a registered bill of lading will intensify in the near future. So this paper combines the method of solving the conflicts of civil and commercial laws in private international law, and discusses the application of the law of delivery of goods without bill of lading under the bearer bill of lading by using a large number of empirical and comparative methods. First of all, the paper expounds the concept of bill of lading, the provisions of various countries on the bill of lading, as well as the legal nature of the bill of lading. This paper emphatically analyzes the status and function of bearer bill of lading in Maritime Law of China, and points out the relationship between registered bill of lading and receipt of goods. According to Chapter 4th of Maritime Law of China, the carrier under registered bill of lading must also release goods by bill of lading. Secondly, the article expounds the related problems of the quality of delivery of goods without bill of lading under the registered bill of lading. While analyzing and comparing the different provisions of whether the bill of lading can be delivered without bill of lading under the relevant laws of various countries, it emphasizes on the use of positivism and combines the discussion of the former part. It is pointed out that the carrier is not allowed to release the goods without a bill of lading in our country. Then, the author makes a qualitative analysis (or identification) of a bill of lading's delivery dispute without a bill of lading. This paper, in combination with the "functional stage of bill of lading", points out that the dispute should be characterized as a contract dispute, a breach of contract dispute rather than a theoretical field. A tort dispute that some in the judiciary consider. Thirdly, the article expounds the legal application of the dispute of delivery of goods without bill of lading under the registered bill of lading. The first part, on the basis of correctly characterizing the dispute of delivery of goods without the bill of lading as a contract dispute under the registered bill of lading, First of all, it is pointed out that the relevant disputes should be applied to the conflict norms of the contract for the carriage of goods by sea, and according to the conflict norms chosen, the applicable substantive norms can be derived. The dissension of delivery of goods without bill of lading is mainly applicable to the principle of autonomy of will and the principle of closest connection. Secondly, the meaning of the principle of autonomy of will is discussed in this paper.
