法经济学视角下的反垄断法研究

【摘要】： 反垄断法,顾名思义就是反对垄断和保护竞争的法律制度。它和《民商法》一样是现代市场经济国家的基本法律制度。《反垄断法》在西方素有“经济宪法”之称,在我国则是一项刚刚起步实施的法律制度,尚需要通过实践的检验不断完善和发展。研究该法律制度的相关理论,结合我国现实国情分析它在未来可能的发展方向显得尤为重要。文中在对垄断及垄断与经济效率的关系进行基本分析的基础上,从反垄断法的立法、司法和执法的角度分析论述了对反垄断法进行经济学分析的必要性。指出在反垄断的立法过程中,经济效率应确立为反垄断法的价值目标;从反垄断法实施的根本目的、宗旨、执法主体和执法程序等,四个角度分析了反垄断法的实施机制及反垄断法在实施过程中可能遇到的问题,并借鉴西方发达国家的经验对我国反垄断法在未来的发展与完善提出若干建议:在反垄断过程中应处理好反垄断与过度竞争之间的关系;反垄断的域外适用问题。
[Abstract]:Anti-monopoly law, as its name implies, is the legal system against monopoly and protection of competition. Like the Civil and Commercial Law, it is the basic legal system of a modern market economy country. The Anti-monopoly Law is known as the "Economic Constitution" in the West and is a newly implemented legal system in our country. Still need to pass the test of practice and continuous improvement and development. It is particularly important to study the relevant theories of the legal system and analyze the possible development direction of the legal system in the future. Based on the basic analysis of monopoly and the relationship between monopoly and economic efficiency, this paper discusses the necessity of economic analysis of anti-monopoly law from the angle of legislation, judicature and law enforcement of anti-monopoly law. It is pointed out that in the process of anti-monopoly legislation, economic efficiency should be established as the value goal of anti-monopoly law, and the basic purpose, purpose, subject and procedure of enforcement of anti-monopoly law should be considered. This paper analyzes the implementation mechanism of anti-monopoly law and the problems that may be encountered in the process of implementation of anti-monopoly law. Some suggestions are put forward for the future development and perfection of China's anti-monopoly law for reference from the experience of western developed countries: the relationship between anti-monopoly and excessive competition should be handled well in the process of anti-monopoly, and the application of anti-monopoly outside the country should be well dealt with.
