论我国流质条款制度的应然取向

【摘要】： 流质条款是指在担保合同中,双方当事人之间约定的,在债务人届期未能履行债务时,担保物直接归担保权人所有的条款。目前仍然有为数不少的国家的担保制度对流质条款采取严格禁止的立法取向,包括我国在内。反思民商法理论上禁止流质条款的主流理由,却存在着诸多让人难以信服和与当今社会生活悖谬之处。同时,禁止流质条款的立法规定也缺乏有力的法理根据。在本文中,笔者将在评析外国立法中关于流质条款的立法取向的基础上,对我国立法禁止流质条款的规定做进一步的评析。作为一种行之有效的担保方式,在允许流质条款的前提下又对其做适当的限制,这样既能体现尊重当事人意思自治的私法精神,又能平衡担保合同当事人之间的经济利益。在文章的最后,将对我国担保制度中流质条款规定的应然取向提出自己的若干建议。
[Abstract]:Fluid quality clause refers to the agreement between the parties in the security contract, when the debtor fails to perform the obligation, the security is directly owned by the security owner. At present, there are still a large number of countries, including our country, which adopt strict prohibition on the flow clause. To reflect on the mainstream reasons of the prohibition of flow clause in the theory of civil and commercial law, however, there are many unconvincing points and paradoxes with today's social life. At the same time, there is no strong legal basis for the legislative provisions prohibiting fluid quality. In this paper, on the basis of the analysis of the legislative orientation of the fluid clause in foreign legislation, the author will make a further assessment of the provisions of our country's legislation prohibiting the flow clause. As an effective way of guarantee, it can not only reflect the spirit of respecting the parties' autonomy in private law, but also balance the economic interests between the parties to the guarantee contract. At the end of the paper, some suggestions are put forward for the orientation of the flow clause in the guarantee system of our country.
