论《鹿特丹规则》单证托运人制度及对FOB我国卖方的影响

【摘要】:国际贸易的80%以上由海上运输完成。2009年,中国超过德国成为全球最大的出口国。此后,我国的进出口贸易进入一个非常活跃的时期。由于我国国情特殊,出口方还大多以中、小货主为主,所以在国际货物买卖中,基本都会以FOB价格术语交易。但是我国《海商法》对出口方的权利保护方面还并不完善。 单证托运人是《鹿特丹规则》新增设的概念。《鹿特丹规则》创设单证托运人,实际上是试图为交付货物的,尤其是FOB贸易术语下的卖方,提供明确的法律上的保障,用来解决以往的,由于国际公约规定不明而造成的纠纷与争议。所以,本文将以单证托运人的概念、权利、义务为切入点,讨论单证托运人制度对我国FOB卖方影响。重新审视我国《海商法》中的托运人制度能不能适应现代国际货物贸易的发展,并且吸收《鹿特丹规则》单证托运人制度的合理成份,适当的对我国《海商法》提出修改建议。
[Abstract]:More than 80% of international trade is done by sea. In 2009, China overtook Germany as the world's largest exporter. Since then, China's import and export trade has entered a very active period. Due to the special situation of our country, the exporters are mainly medium and small cargo owners, so in the international sale of goods, they will basically trade in FOB price terms. However, China's Maritime Law is not perfect in protecting the rights of exporters. The documentary shipper is a new concept added to the Rotterdam rules. Creating a documentary shipper under the Rotterdam rules is, in fact, an attempt to provide clear legal safeguards for the delivery of goods, in particular the seller under the FOB trade term, Used to resolve disputes and disputes caused by the unclear provisions of international conventions. Therefore, based on the concept, rights and obligations of the documentary shipper, this paper discusses the influence of the documentary shipper system on the FOB seller in China. This paper re-examines whether the shipper system in China's Maritime Code can adapt to the development of modern international trade in goods, and absorbs the reasonable elements of the documentary shipper system in Rotterdam rules, and puts forward appropriate suggestions for amending China's Maritime Code.
