大连市妇女儿童医疗中心法人治理结构研究

【摘要】:伴随着我国社会和市场经济的不断发展,传统管理模式下的公立医院已无法满足公众日益增长的公共服务需求,公益性淡化、社会效益降低等原因引发了“看病难、看病贵”等社会矛盾。因此,兼顾公立医院公平与效益的原则,对公立医院管理体制和运行机制的改革探索,已成为我国深化卫生体制改革的一项重要工作。积极探索法人治理结构建设符合医疗卫生改革的需要,不仅是公立医院体制改革中的重要探索,也是深化事业单位改革的一项全新课题,需要在理论上进行深入研究,在实践中积极探索。本文基于法人治理结构中的基本理论,以大连市事业单位改革试点单位——大连市妇女儿童医疗中心为案例,着重对大连市妇女儿童医疗中心法人治理模式进行研究。本文收集了该案例自投入使用以来,可以反映资源利用情况和医院运营情况等方面的有关数据,并与大连市妇幼保健院、大连市儿童医院进行比较。在此基础上,采用文献分析法、深度访谈等方法与实际案例研究法相结合,详细研究大连市妇女儿童医疗中心法人治理结构现状,认为大连市妇女儿童医疗中心法人治理结构改革取得初步实效,其治理模式是以理事会领导下的院长负责制,通过建立理事会作为决策机构,院长及管理层作为执行机构,解决了传统公立医院“管办不分”问题,实现对医院权责的合理分配,保障了医院利益相关方的最大化利益。同时,大连市妇女儿童医疗中心成立独立的监事会作为监督机构,加强对医院理事和管理层日常工作的监管,确保医院高效运营。但医院法人治理结构改革仍存在一些困难,比如政府各部门配合困难、公众意识不到位、外部理事作用发挥不理想等。在归纳大连市妇女儿童医疗中心法人治理结构的权责关系和典型经验的基础上,构建了一个以理事会型法人治理结构的理想模型,总结出构建事业单位法人治理结构的基本原则。通过对案例结果推广的可行性分析后,提出推广事业单位实行理事会型法人治理结构的三个前提条件:充分调研评估、落实事业单位法人权力和加强舆论宣传。同时,指出四方面的保障体系建议:建立组织架构、明确职责定位、制定完善章程和健全保障制度,以期待为我市事业单位改革提供研究思路和研究经验。
[Abstract]:With the development of our society and market economy, the public hospitals under the traditional management mode have been unable to meet the increasing public service demand, the public welfare has been desalinated, and the social benefits have been reduced. See a doctor expensive "wait for social contradiction." Therefore, it has become an important task to deepen the reform of health system in our country by taking into account the principle of fairness and efficiency of public hospitals and exploring the reform of management system and operation mechanism of public hospitals. Actively exploring the construction of corporate governance structure meets the needs of medical and health reform. It is not only an important exploration in the system reform of public hospitals, but also a new subject for deepening the reform of public institutions. Actively explore in practice. Based on the basic theory of corporate governance structure, this paper takes Dalian Women and Children Medical Center as an example, and focuses on the corporate governance model of Dalian Women and Children Medical Center. This paper collects the relevant data of resource utilization and hospital operation since the case was put into use, and compares it with Dalian Maternal and Child Health Hospital and Dalian Children's Hospital. On this basis, combining the methods of literature analysis, in-depth interview and actual case study, the present situation of corporate governance structure of Dalian Women and Children Medical Center is studied in detail. It is considered that the reform of the corporate governance structure of Dalian Women and Children Medical Center has achieved initial practical results, and its governance model is based on the president's responsibility system under the leadership of the Board of Governors, through the establishment of the Council as a decision-making body, and the president and management as the executive body. It resolves the problem of "no division between management and management" in traditional public hospitals, realizes the rational distribution of hospital powers and responsibilities, and ensures the maximization of the interests of hospital stakeholders. At the same time, Dalian Women and Children Medical Center set up an independent board of supervisors as a supervisory body to strengthen the supervision of the daily work of hospital directors and management to ensure the efficient operation of the hospital. However, there are still some difficulties in the reform of hospital corporate governance structure, such as the difficulty of government departments to cooperate with each other, the lack of public awareness, and the unsatisfactory role of external directors. On the basis of summing up the relationship of power and responsibility and typical experience of the corporate governance structure of Dalian Women and Children Medical Center, this paper constructs an ideal model of governing structure based on the governing body of the Council. Summarize the basic principles of constructing the corporate governance structure of public institutions. After analyzing the feasibility of popularizing the result of the case, this paper puts forward three preconditions for popularizing the governing structure of the governing body of the corporation in institutions: full investigation and evaluation, carrying out the power of the legal person of the institution and strengthening the publicity of public opinion. At the same time, the paper points out four aspects of security system suggestions: setting up organization structure, clarifying duty orientation, perfecting articles of association and perfecting guarantee system, in order to provide research ideas and research experience for the reform of institutions in our city.
