海尔集团跨国并购后整合研究

【摘要】:近两年来,越来越多的中国企业将跨国并购作为走向国际化的通道,但是跨国并购“火爆”的背后也存在很多问题。我国家电行业近十年来不断通过兼并重组和资源整合,从代工制造阶段向品牌创建阶段跨越式发展,形成全新的商业模式,然而并购后整合阶段由于各种“排异”现象却导致最后的失败。因此,本文从以上背景出发,将论文方向聚焦到我国家电企业跨国并购后整合案例中。本文采用文献资料研究法和案例研究法,以跨国并购后整合为分析视角。首先对跨国并购后整合理论进行文献综述,重点放在国内外并购后整合模型上。其次总结概括了我国家电行业近十年并购历程,分析了家电行业发展现状及出现大规模并购的原因。本文案例部分选取了海尔集团三次跨国并购整合事件作为分析对象,通过案例内分析和跨案例分析归纳总结出海尔集团跨国并购后整合方式。本文案例分析并不采取单一论证模式,而是在统一的分析框架下,通过归纳总结出案例共性的机理特征,对同一案例对象三次跨国并购后整合进行的纵向比较分析。同时本文对并购后整合效果或整合预期也进行了分析,采用财务指标与非财务指标分析企业财务与经营状况,运用主成分分析法探究并购后整合事件对企业绩效产生作用的内在机理。最后本文将海尔集团跨国并购后整合方式进行了推广,提出了我国企业跨国并购后整合的一般方式框架图。
[Abstract]:In the past two years, more and more Chinese enterprises regard cross-border M & A as the channel to internationalize. However, there are also many problems behind the "boom" of cross-border mergers and acquisitions. In the past ten years, the household appliance industry of our country has been continuously developing from the stage of contract manufacturing to the stage of brand creation through merger and reorganization and resource integration. The formation of a new business model, but the post-merger integration phase due to a variety of "exclusion" phenomenon led to the final failure. Therefore, this article from the above background. This paper focuses on the integration of domestic appliance enterprises after cross-border mergers and acquisitions. This paper uses the literature research method and the case study method. From the perspective of post-integration of cross-border mergers and acquisitions, this paper firstly reviews the theory of post-integration of cross-border mergers and acquisitions, focusing on the post-integration model at home and abroad. Secondly, it summarizes the recent ten years of M & A process in China's household appliances industry. This paper analyzes the current situation of household appliances industry development and reasons for large-scale mergers and acquisitions. This case selected three cross-border M & A integration events of Haier Group as the analysis object. Through the intra-case analysis and cross-case analysis to sum up the way of post-merger integration of Haier Group. This case study does not adopt a single demonstration model, but under the unified analysis framework. Through summing up the mechanism characteristics of case commonness, this paper makes a longitudinal comparative analysis of the integration after three cross-border mergers and acquisitions in the same case. At the same time, this paper also analyzes the effect or expectation of integration after merger and acquisition. Financial indicators and non-financial indicators are used to analyze the financial and business situation of enterprises. The principal component analysis method is used to explore the internal mechanism of the effect of post-merger integration events on corporate performance. Finally, this paper popularizes the post-merger integration mode of Haier Group. This paper puts forward the general framework chart of the post-merger integration of Chinese enterprises.
