隐性契约对跨国RJVs绩效的影响分析

【摘要】：随着经济全球化和科学技术的迅猛发展,跨国公司单独进行研发活动的竞争力越来越弱,各个领域研发所需的知识和技能在难度和深度上越来越大,对于单个公司来说,研发的复杂化、不确定性和成本投入过高愈加严重,一般的企业已经很难在自己的范围内,仅仅依靠自己的资金、员工技能、技术设备等来产生技术创新并推向市场。与此同时,企业家们发现在跨部门、跨行业间组建一种新的组织模式,可以有效的改善研发的不良处境。研究合作组织的出现实现了企业的这一愿望。研究合作组织在分担风险、获得规模经济和范围经济、分担成本投入和避免无谓的重复研发方面的优势使得它越来越受到跨国公司的青睐。由于地区、传统习俗、公司文化、信念等的不同,显性契约在协调RJVs组织成员时效果并不突出,隐性契约中的文化、信任、声誉、期望合作价值却正好能弥补显性契约的这些不足。本文详细阐述了研究合作组织的研究现状,并简单介绍了研究合作组织在日本、美国的发展情况,对隐性契约理论的发展和研究现状做了详细的描述。解释了当前学者在研究合作组织中所应用的理论基础：交易成本理论、产业组织理论。描述了隐性契约从法学到经济学的发展过程,在经济学领域隐性契约的两种理论研究,‘一种是威廉姆斯提出的专用性资产形成的双边依赖,而另一种便是利用社会资本而锁定的双边关系、激励作用等。从理论角度分析了隐性契约在研究合作组织的作用,分别是期望合作价值、信任和声誉与研究合作组织绩效方面的关系。从实证的角度验证了隐性契约的期望合作价值、信任和研究合作组织绩效之间的关系。随后则进一步分析了如何根据显性契约和隐性契约的作用关系来更好的协调利用二者,从而实现契约的有效性和高效性。最后根据上面的理论提出了相关的政策建议和未来的研究方向。
[Abstract]:With the rapid development of economic globalization and science and technology, the competitiveness of R & D activities by multinational corporations is becoming weaker and weaker, and the knowledge and skills required for R & D in various fields are becoming more and more difficult and profound. The complexity of R & D, uncertainty and overinvestment in cost are becoming more and more serious. It is difficult for ordinary enterprises to produce technological innovation and push it to market by relying on their own funds, staff skills, technical equipment and so on. At the same time, entrepreneurs have found that creating a new organizational model across sectors and industries can effectively improve R & D malaise. The emergence of research cooperation organizations has realized this desire of enterprises. The advantages of cooperative organizations in sharing risks, obtaining economies of scale and scope, sharing cost input and avoiding unnecessary repeated R & D make it more and more popular with multinational companies. Due to different regions, traditional customs, company culture, beliefs, etc., explicit contract is not effective in coordinating RJVs organization members, the culture, trust, reputation of implicit contract, However, the expected value of cooperation can make up for these shortcomings of explicit contract. In this paper, the research status of research cooperation organization is described in detail, and the development of research cooperation organization in Japan and the United States is briefly introduced, and the development and research status of implicit contract theory are described in detail. This paper explains the theoretical basis used by scholars in the research of cooperative organizations: transaction cost theory and industrial organization theory. This paper describes the development process of recessive contract from law to economics. In the field of economics, there are two kinds of theoretical research on recessive contract. One is the bilateral dependence on the formation of special assets proposed by Williams. The other is the use of social capital to lock in bilateral relations, incentives, and so on. This paper analyzes the role of implicit contract in the study of cooperative organization from a theoretical point of view, namely, the relationship between the expected cooperative value, trust and reputation, and the performance of cooperative organization. From the empirical point of view, the paper verifies the relationship between the expected cooperative value of implicit contract, trust and the performance of cooperative organization. Then it further analyzes how to make better use of the explicit contract and the implicit contract according to the relationship between them so as to realize the effectiveness and efficiency of the contract. Finally, according to the above theory put forward the relevant policy recommendations and future research direction.
