中、英企业破产拯救制度的比较研究

【摘要】：英国的公司自愿整理程序、管理程序、整理计划程序使企业破产拯救制度呈现出一种立体化结构,无论企业是否陷入破产境地,其都可以选择相应的法律制度来帮助其清理债务、减轻负担。而且,英国企业拯救中法院、破产执业者以及企业管理层的职能划分清晰,衔接顺畅,整个制度运行效率较高。当前我国在处置僵尸企业过程中要对有运营价值的企业尽可能多兼并重组,少破产清算,这就要求运用重整、和解等手段对陷入困境的企业及时拯救。在立法上,应当设立便利企业尽快进入拯救程序的制度,在司法上,应当进一步探索解决企业拯救的目的、方式等基本问题。
[Abstract]:British companies voluntarily finishing the program, management procedures, procedures to make the enterprise bankruptcy reorganization plan to save the system showing a three-dimensional structure, regardless of whether the enterprise bankruptcy, which can help to clear the debt, choose the corresponding legal system to reduce the burden. Moreover, British companies save in bankruptcy court, practitioners and managers of the enterprise the function is clear, smooth convergence, high efficiency of the whole system. At present in China in the process of disposal of zombie companies as much as possible to have the operation value of the merger and reorganization of enterprises, less bankruptcy liquidation, which requires the use of reorganization, reconciliation and other means of troubled enterprises timely rescue. In legislation, should enter to save the procedure system set up as soon as possible to facilitate the enterprise, in the judicial practice, should further explore solutions to the basic problems of enterprise rescue, and so on.
