中国对老挝的矿业投资的法律风险研究

【摘要】：老挝是东南亚较为落后的国家之一。近年来，在矿业资源领域，虽然老挝矿产资源种类和储量较为丰富，但由于其工业和科技水平的限制，“以资源换资金”的投资政策是其吸引外来资本的一项重要方针。另外，老挝推行革新开放的基本国策对其矿业市场的发展产生了重要的影响。因此，随着中国对老挝矿产资源投资程度的不断深化，如何从投资法律风险的角度全面分析当前老挝关于其外商投资方面的宏观政策以及与老挝矿产资源勘查开发相关的各项法律、法规，将能更好地从法律层面为中方投资者指明对老挝矿业的投资方向，规避和预防由于投资活动产生的各项法律风险，提高风险防范的意识。本文首先分析了境外投资法律风险的基本概念、特征和种类，可以知道法律风险的因素和来源较为广泛，主要集中在投资者母国的法律制度、投资东道国的法律制度和投资者的经营行为三个方面。其次，笔者选取了投资东道国的法律制度这一法律风险因素，简要介绍了老挝的宏观投资环境以及中国对老挝矿业投资的种类和方式，并通过对老挝矿业投资所涉及的立法现状进行全面的分析，将投资法律风险的内容总结为了四个方面：一是矿业权制度的法律风险，二是矿业管理制度的法律风险，三是外商投资法律风险，，四是矿业劳工法律风险。最后，关于老挝矿业投资法律风险的防范，基于我国矿业投资者的角度，第一，针对老挝矿业权制度的法律风险，应当加强投资前的法律风险调查，同时妥善选择矿业企业的形式。第二，关于老挝矿业管理制度的法律风险，应当严格遵守相关法律法规，做好相关法律文件的备案；以合同形式争取矿业用地的优先权；同时还应重视矿业安全生产，推行矿工培训和事故紧急预案制度。第三，对于老挝外商投资的法律风险，建议投资者选取合适的投资方式，找准指导投资的具体法律依据；正确行使和履行各项投资的权利和义务。第四，针对老挝矿业劳工法律风险，应严格遵守劳动法律制度，同时优先雇佣当地的劳务，注重对外劳务审查。
[Abstract]:Laos is one of the most backward countries in Southeast Asia. In recent years, in the field of mineral resources, mineral resources and reserves while Laos species is rich, but because of its industrial and technological level, "capital" for resource investment policy is an important policy to attract foreign capital one. In addition, has an important influence the implementation of the basic national policy of reform and opening up of the Laos mining market development. Therefore, with the deepening China investment degree of Laos mineral resources, from the angle of legal risk investment to a comprehensive analysis of the current foreign investment in Laos on the macro policy and the exploration of the laws, related to the development of mineral resources and Laos regulations, will be better from the legal level for Chinese investors to indicate direction of investment of Laos mining, the legal risk avoidance and prevention due to investment activities, improve the wind The awareness of risk prevention.
This paper first analyzes the basic concept of overseas investment legal risk, characteristics and types, can know the source of legal risk factors and more widely, the legal system is mainly concentrated in the home country of the three aspects of investors, business investment in the host country and the legal system of investors. Secondly, the author selects the legal system of the legal risk of investment in the host country the factors, briefly introduced the investment environment and Chinese Laos investment in Laos mining types and methods, and makes a comprehensive analysis of the legislative situation of Laos mining investment, the investment legal risk summary in four aspects: one is the legal risk of mining right system, two is the legal risk management of mining the system is three, the foreign investment legal risk, legal risk is four mining labor. Finally, prevention of Laos mining investment legal risk, medium In China's mining investor perspective, first, according to the legal risk of Laos mining rights system, should strengthen the legal risk investigation before investment, and properly choose the mining companies. In second, the legal risk management system of mining industry in Laos, shall strictly abide by the relevant laws and regulations, to record the relevant legal documents to the contract; the form for the right of priority of the mining industry; also should pay attention to mine safety production, the implementation of training workers and accident emergency plan system. Third, the Lao foreign investment legal risk, select the appropriate investment advice investors, identify the specific legal basis to guide investment; the rights and obligations of the right to exercise and perform the fourth investment. According to the labor law, Laos mining risk, should strictly abide by the labor law system, while giving priority to hire local labor, pay attention to the international labor review.
