FCPA及其对中国的影响

【摘要】：近年来在中国爆发的一些跨国企业商业贿赂案件,这些案件不论是在国内还是国外都被引起了广大的关注。这些案件并非由我们国家的司法进行管辖,而全部是依据美国制定的FCPA所查处的。这里我们不就有了这么一个疑惑,一部美国国内法律为什么能管辖到我国市场?FCPA这部法律它是如何产生的,在其发展过程中有过哪些修改呢?其立法目的何在?在美国的参众两院经过了哪些争论和交锋?这部法律的具体是什么呢?它到底规定了些什么内容?更加重要的是,在我国大力引进外资,经济建设不断在加强的大环境下,这部法律又会对我国市场产生什么样的作用呢?随着中国企业海外上市的数量越来越多,如何把握本国法律与美国法律之间的区别呢?又如何做到在他国法律中保证本国企业的生存和发展,就成为了一个重要而紧迫的课题。同时,一种异域文明走进中国之后给我们留下的思考,不仅仅来自于物质和现实层次的损益,而且更加重要的是来自于文化和文明的比较和较量。本文拟就这些问题进行一些探索和总结。
[Abstract]:In recent years, there have been some cases of commercial bribery of multinational enterprises in China, which have aroused widespread concern both at home and abroad. These cases are not under the jurisdiction of our country's jurisdiction. And it's all based on the FCPA made by the United States. We don't have such a question here, why can a domestic law of the United States govern our market? How did the FCPA law come into being and what changes did it make in the course of its development? What is the legislative purpose? What are the debates and exchanges between the two houses of Congress in the United States? What exactly is the law? What exactly does it prescribe? What is more important is, in our country to introduce foreign capital energetically, the economic construction is unceasingly in the enhancement big environment, this law will also produce to our country market what kind of function? With the increasing number of Chinese companies listed overseas, how to grasp the difference between domestic law and American law? And how to ensure the survival and development of domestic enterprises in the laws of other countries has become an important and urgent issue. At the same time, the thinking left behind by a foreign civilization after entering China, Not only from the material and practical level of profit and loss, but more importantly from the comparison and contest of culture and civilization. This paper intends to make some exploration and summary on these problems.
