【摘要】：公司是现代企业中最重要、最典型的组织形式，公司发展的好坏关系到一国的经济发展状况。公司法人治理结构是公司中的核心问题，而公司法人治理结构的核心是通过配置公司的权力，建立有效的监督和激励机制，，以保护公司股东的权益，实现公司利益最大化。本文从法学的角度，对公司法人治理结构的含义进行了较为深刻的阐述，采用列举和比较的方法对当今世界上不同种类的公司法人治理结构模式进行了阐释、分析其利弊，从而为我国建立起科学的公司法人治理结构模式提供了借鉴和参考。本文又特别对我国公司法人治理结构制度的发展现状，存在的缺陷及健全完善等问题进行了探究。
[Abstract]:The company is the most important and the most typical organizational form in the modern enterprise. The development of the company is related to the economic development of a country. The corporate governance structure is the core problem in the company. The core of corporate governance structure is to set up an effective supervision and incentive mechanism to protect the rights and interests of the shareholders of the company and to maximize the interests of the company through the allocation of the power of the company. This paper expounds the meaning of corporate governance structure deeply, and analyzes the advantages and disadvantages of different kinds of corporate governance structure models in the world by means of enumeration and comparison. It provides reference and reference for our country to establish the scientific corporate governance structure model. This paper especially for the development of corporate corporate governance structure system in China. Existing defects and sound improvement and other issues were explored.
