【摘要】：在知识经济的背景下,知识产权日益融入具体的生产经营活动之中,从而成为公司发展和创新的一大推动力。我国《公司法》已经明确规定了知识产权可以作为出资,但是对于相关制度的设计却尚显缺乏。针对知识产权出资的范围、知识产权出资的适格性、知识产权出资的比例、知识产权出资的履行,以及知识产权出资的法律责任等问题进行了探讨,并提供知识产权出资制度进一步完善的一些建议。
