【摘要】： 股权信托是近几年来活跃在我国公司实践中的新型信托产品,国内理论界对此研究不多,立法上也存在空白,实务中股权信托大致包括三类,即股权投资信托、股权融资信托、股权管理信托。根据信托法基本原理,其中的某些信托存在一定问题,并且在实质上不能被称为股权信托。本文从信托法基本原理出发,对股权信托从理论和实务两个方面进行了系统的分析和阐述,一方面对实务中就股权信托存在的认识误区进行矫正,另一方面对股权信托的分类、功能、操作等从应然的角度做出界定。全文分为前言、正文、结论三部分,正文包括四章。第一章简要阐述信托的基本原理。该部分主要从信托财产、信托法律关系和信托当事人、信托管理的连续性三个方面对信托基本理论进行说明,主要目的是为下文股权信托的论述提供铺垫。第二章对股权信托进行了解构。该部分从股权信托的两个前提(股权与股东权之争,股权权能的范围)入手,在微观层面上将股权信托细分为收益权信托和表决权信托进行分别讨论。由于收益权信托在我国理论研究中属于空白,所以对这种信托本文结合信托法基本原理进行了理论体系上的建构,从信托法的视角对这种信托产品的功能进行了定位。对表决权信托,在详细论述其原理功能的同时,深刻挖掘了此种信托在美国产生和运作的背景,为我国实务操作提供知识储备与借鉴。第三章对我国的股权信托实务进行了系统的梳理分析。该部分指出了现阶段股权信托实务中存在的问题,结合前两章的基本知识以及实务中已经出现过的部分有代表性的案例,对我国的股权信托实务进行了类型化的分析。第四章针对第三章所反映的问题对我国股权信托的规范化运作提出了设想。该部分从信托合同形式、信托目的、信托期限、信托登记以及出资凭证的换发等方面对收益权信托和表决权信托的规范化运作进行了论证,并进一步对实践中这两种信托的协调操作做出说明,最后针对两种股权权能的信托在操作方面存在的问题在立法上给出了建议。
[Abstract]:The equity trust is a new trust product which has been active in the practice of our company in recent years . There are many kinds of trust funds in China , namely , equity investment trust , equity financing trust and equity management trust . According to the basic principle of trust law , some of the trust has some problems and can not be referred to as equity trust . The whole text is divided into three parts : preface , text and conclusion , the text includes four chapters . The first chapter provides a brief description of the basic principle of trust . This part mainly explains the basic theory of trust from three aspects of trust property , trust legal relationship and trust , trust management continuity . The main purpose is to provide the cushion for the discussion of the following equity trust . In the second chapter , the trust of stock rights is deconvoluted . This part starts with the two prerequisites of the equity trust ( the scope of equity and shareholder rights and equity power ) , and discusses the function of the trust product in the micro level . As the trust of income right is blank in our country ' s theory research , this paper discusses the function of the trust product from the perspective of trust law . The third chapter analyzes the system of the equity trust practice in our country . This part points out the existing problems in the current equity trust practice , combines the basic knowledge of the first two chapters and some representative cases in practice , and makes a typed analysis on the equity trust practice in our country . The fourth chapter puts forward the idea of the standardization operation of the trust in China ' s equity trust in the form of trust contract , trust purpose , trust period , trust registration and exchange of capital contribution certificate .
