公司控制权市场的理论评介与重构

【摘要】：公司控制权市场是借助市场机制,通过转移公司控制权以达到制约公司经营者,从而有效保障股东利益的一系列制度安排。在公司控制权市场机制运用最为成熟的西方发达国家,其主流理论都立基于一个基本的前提,即实现股东利益最大化。然而,伴随着公司法反主流的理论变革与制度实施,这一蕴含在公司控制权市场机制中的基本前提正受到质疑乃至巨大的冲击,公司控制权市场的主流理论亟待作出重新评介并进行重构。
[Abstract]:With the help of market mechanism, the market of corporate control is used to restrict the managers of the company by transferring the control of the company. In the western developed countries where the market mechanism of corporate control is most mature, the mainstream theory is based on a basic premise, that is, to maximize the interests of shareholders. With the theoretical reform and system implementation of the anti-mainstream company law, the basic premise contained in the market mechanism of corporate control is being questioned and even greatly impacted. The mainstream theory of corporate control market needs to be reintroduced and reconstructed.
