浅析中小股东权利保护

【摘要】：股份有限公司以其特有的集中资本分散风险的优势,吸引了社会众多投资者纷纷下海。然而现实中有损中小股东权利的现象层出不穷,这一方面有违诸如公平、正义等法的基本价值,另一方面严重妨害了股份有限公司社会融资的功能,阻碍了市场经济的健康有序运展。因此,加强中小股东的权利保护势在必行。文章首先界定中小股东的概念,论证对中小股东权利保护的理论基础,然后结合我国公司法对中小股东权利保护的立法现状,笔者从保护股东表决权的角度就完善中小股东权利保护谈一点粗浅的看法,以期达到抛砖引玉之效。
[Abstract]:Limited company with its unique advantages of concentrated capital diversification risk, attracted a lot of social investors have to go to sea.However, in reality, the phenomenon of harming the rights of minority shareholders appears in endlessly, which, on the one hand, violates the basic value of laws such as fairness and justice, and on the other hand seriously hinders the function of social financing of joint-stock limited companies.It hinders the healthy and orderly operation of the market economy.Therefore, it is imperative to strengthen the protection of the rights of minority shareholders.This paper first defines the concept of minority shareholders, demonstrates the theoretical basis for the protection of the rights of minority shareholders, and then combines the current legislative situation of the protection of the rights of minority shareholders in China's Company Law.From the point of view of protecting the voting rights of shareholders, the author talks about how to perfect the protection of the rights of small and medium shareholders, in order to achieve the effect of offering a brick and drawing the jade.
