知识产权出资若干法律问题研究

【摘要】：目前知识产权的利用主要有：知识产权的转让或者许可使用、知识产权的投资入股产业化运作、知识产权质押贷款、知识产权信托以及知识产权的资产证券化,其中在我国知识产权出资入股被视为我国科技创新型企业尤其是中小企业发展的基础和关键。但是目前我国法律特别是《中外合资经营企业法》、《公司法》关于知识产权出资的不同规定,导致实践中的争议越来越多,知识产权出资义务的履行、出资评估、出资比例、出资风险等问题,特别是知识产权使用权出资在工商登记、法律适用中存在众多问题。出资的履行是知识产权出资的关键环节。对于知识产权出资采取了“交付与权属转移并重,交付优先”司法精神评估只是行政程序要求,必须坚持实质出资为原则,即“定的价额显著低于公司章程所定价额的”才构成出资不实。知识产权使用权出资符合《公司法》的出资条件,在财产转移手续可操作,同时也符合得到司法实践支持和肯定。完善知识产权出资风险必须完善知识产权出资制度、严格出资审查、完备出资合同等方面加强风险预防。本文将按逻辑顺序,以递进式结构分四个章节进行论述。第一章围绕知识产权出资理论,分析知识产权出资概念、知识产权出资特点、知识产权出资主体以及知识产权出资适格性。第二章围绕知识产权出资立法考察了德国、美国、日本知识产权出资制度,并就我国知识产权出资立法进行论述,并且提出可以借鉴的做法。第三章主要以专利使用权出资为例,论述了知识产权使用权出资的必要性和可行性。第四章主要就完善我国知识产权出资法律风险防范进行论述,并提出若干措施。
[Abstract]:At present, the use of intellectual property mainly includes: the transfer or licensing of intellectual property rights, the industrialization of investment in intellectual property rights, intellectual property mortgage loans, intellectual property trusts and securitization of intellectual property assets, In our country, intellectual property investment is regarded as the foundation and key to the development of science and technology innovation enterprises, especially small and medium-sized enterprises. However, at present, our country's laws, especially the Sino-Foreign Joint Venture Law, and the different provisions of the Company Law on the contribution of intellectual property have led to more and more disputes in practice, the implementation of the obligation to contribute to intellectual property, the evaluation of investment, and the proportion of investment. There are many problems in the application of the law, such as investment risk, especially intellectual property right right investment in industrial and commercial registration. The implementation of capital contribution is the key link of intellectual property capital contribution. The evaluation of judicial spirit is only required by the administrative procedure, and must adhere to the principle of substantive contribution as the principle that the intellectual property contribution should be paid equal attention to as well as the transfer of ownership, and the priority of delivery should be given to judicial spirit evaluation. That is to say, the fixed price is significantly lower than the fixed amount of the company articles of association. The capital contribution of intellectual property right is in accordance with the conditions of the Company Law, which can be operated in the formalities of property transfer, and is supported and affirmed by the judicial practice at the same time. To perfect the investment risk of intellectual property, we must perfect the investment system of intellectual property, strictly examine the investment, perfect the investment contract and strengthen the risk prevention. This paper will be in logical order, the progressive structure is divided into four chapters. The first chapter analyzes the concept of intellectual property capital contribution, the characteristics of intellectual property capital contribution, the subject of intellectual property capital contribution and the suitability of intellectual property capital contribution. The second chapter examines the intellectual property investment system of Germany, the United States and Japan around the legislation of intellectual property investment, and discusses the legislation of intellectual property capital contribution in China, and puts forward some methods that can be used for reference. The third chapter mainly discusses the necessity and feasibility of intellectual property right investment. The fourth chapter mainly discusses how to improve the legal risk prevention of intellectual property investment in China, and puts forward some measures.
