我国创业投资公司立法的战略选择

【摘要】：正近年来,我国创业投资事业发展迅速。据北京创业投资协会、上海创业投资企业协会和深圳创业投资同业公会等机构的联合调查,截至2001年底,全国已设立创业投资公司近200家（不含各类创业投资管理顾问公司）,资本规模近400亿元。但由于缺乏有关创业投资公司的特别法律与法规,导致按一般公司法即现行《中华人民共和国公司法》设立的创业投资公司,在运作过程中普遍面临缺乏充分的法律保护等问题。鉴于现行的《公司法》主要只适用于调整加工贸易类公司,而创业投资公司作为一种特殊类型公司有其自身特殊的法律要求,因此,在遵循现行《公司法》的基本原则下,适应创业投资公司的特殊法律要求,制订《创业投资公司管理暂行办法》等特别行政法规或规章,已成为现实
[Abstract]:In recent years, the venture capital enterprise of our country develops rapidly. According to a joint investigation by the Beijing Venture Capital Association, the Shanghai Venture Capital Enterprise Association and the Shenzhen Venture Investment Association, etc., by the end of 2001, China has set up nearly 200 venture capital companies (excluding all kinds of venture capital management consulting firms, capital scale of nearly 40 billion yuan. However, due to the lack of special laws and regulations on venture capital companies, it has led to the establishment of venture capital companies under the General Company Law, that is, the current Company Law of the people's Republic of China. In the process of operation, it is generally faced with the lack of adequate legal protection and other problems. In view of the fact that the current Company Law is mainly applicable to the adjustment of processing trade companies and that venture capital companies have their own special legal requirements as a special type of companies, under the basic principles of the current Company Law, It has become a reality to adapt to the special legal requirements of venture capital companies and formulate special administrative regulations or rules, such as "interim measures for the Management of Venture Capital companies".
