公司控制权的演进及其本质

【摘要】：公司控制权是公司内部相关利益主体享有的对公司运营的决策权和支配权,这种决策权与支配权的安排既可以由公司法等国家法律法规规定,也可以由公司章程和投资者之间契约这种自治性合约来约定。企业的控制权随着企业形态演变的不同而表现出不同的模式,对公司经营与决策等有主导之权力是公司控制权的本质。公司控制权是通过一系列的公司控制行为来体现的。公司控制权来源于所有权,所有权是公司控制权的基础,公司控制权既不能脱离资本所有权,也不能脱离由以资本所有权为根基而生成的公司所有权独立存在。
[Abstract]:The right of corporate control is the decision-making power and domination of the company's internal related interests, which can be stipulated by the state laws and regulations such as the company law and the contract between the articles of association and the investor. The control right of the enterprise is with the form of the enterprise. The dominant power of the company's management and decision is the essence of corporate control. The right of corporate control is embodied by a series of corporate controls. The right of corporate control comes from ownership, and ownership is the basis for the control of the company, and the control right of the company can neither be separated from the ownership of capital. It can not be separated from the ownership of a company based on capital ownership.
