公司僵局救济制度研究

【摘要】: 公司僵局问题是封闭性公司中比较棘手的问题,它在有限责任公司中表现得尤为突出。近年来,该问题备受公司法领域学者关注,并成为被广泛探讨的热点问题之一。虽然我国2005年新修订的《公司法》首次引入了公司僵局救济制度,并于2008年5月出台了《最高人民法院关于适用中华人民共和国公司法若干问题的规定(二)》,但该规定仍存在较多不足之处。本文试图通过对我国公司僵局救济制度的现状进行实证分析,并结合现实中的案例,在借鉴国外先进立法经验和司法实践的基础上,提出自己的思考角度——即内部救济与外部救济的角度,以期为我国公司僵局救济制度的完善提供建议。 除引言和结论外,本文主要包括以下四部分: 第一部分是对公司僵局相关法律问题的概述。主要包括对公司僵局概念和本质的界定,并初步指出了我国目前在公司僵局的理论研究方面存在的问题。 第二部分是对我国公司僵局救济的现状分析。结合现实中有关司法解散公司的案例,对我国目前关于破解公司僵局的立法及司法方面的应对措施进行了探讨,指出了法院判决标准不一、以及对介入公司僵局的方式把握不够准确等问题。 第三部分是域外法中公司僵局的化解。从立法与司法实践两个方面,通过对(主要是)英美法系以及大陆法系国家和地区关于公司僵局救济制度的考察和比较,分析给我国公司僵局救济带来的启示,并归纳总结出内部救济与外部救济两种方法。 第四部分针对我国现行法律制度中存在的问题,提出了完善我国公司僵局救济制度的建议。首先以公司内部救济手段为优先,即通过公司章程或股东协议、调解、仲裁、借助民间商会、行业协会的介入等来化解僵局;其次,在这些手段不能解决纠纷的情况下,法院应依类别介入公司僵局,并确定一个合理的解散公司的标准,此外,提出我国可以引入英美法中的强制股权置换制度及强制分立制度。 总之,在股东请求司法解散公司的案件中,法官应以公平为基点,兼顾效率,进行适当的司法干预,汲取民法尤其是合同法原理中的精髓,通过适度释明及自由裁量,结合具体案件事实,在各方当事人之间实现利益平衡。
[Abstract]:Corporate deadlock is a thorny problem in closed companies, especially in limited liability companies. In recent years, this issue has attracted the attention of scholars in the field of corporate law, and has become one of the hot issues widely discussed. Although the newly revised Company Law in 2005 introduced the relief system of corporate deadlock for the first time, In May 2008, the provisions of the Supreme people's Court on the Application of the Company Law of the people's Republic of China (2) were issued, but there are still many deficiencies in this provision. This paper attempts to make an empirical analysis of the current situation of the relief system of corporate deadlock in our country, and combine with practical cases, on the basis of drawing lessons from foreign advanced legislative experience and judicial practice. The author puts forward his own thinking angle, that is, internal relief and external relief, in order to provide suggestions for the perfection of the relief system of company deadlock in our country. In addition to the introduction and conclusions, this paper mainly includes the following four parts: The first part is an overview of the legal issues related to corporate deadlock. It mainly includes the definition of the concept and essence of corporate deadlock, and points out the problems existing in the theoretical research of corporate deadlock in China. The second part is the analysis of the current situation of our company deadlock relief. Combined with the actual cases of judicial dissolution of the company, this paper probes into the legislative and judicial measures to solve the deadlock of the company in our country, and points out that the standard of the court judgment is different. And the way to intervene in the deadlock of the company is not accurate enough to grasp and so on. The third part is the resolution of the corporate deadlock in the extraterritorial law. From the two aspects of legislation and judicial practice, through the investigation and comparison of the relief system of corporate deadlock in countries and regions of Anglo-American law system and civil law system, this paper analyzes the enlightenment to the relief of corporate deadlock in our country. And summed up the internal relief and external relief two methods. The fourth part puts forward some suggestions to perfect the relief system of corporate deadlock in view of the problems existing in the current legal system of our country. First of all, priority should be given to the internal remedies of the company, that is, resolving the deadlock through articles of association or shareholder agreements, mediation, arbitration, and the involvement of private chambers of commerce, trade associations, etc.; secondly, when these means cannot resolve disputes, The court should intervene in the deadlock of the company according to the category and determine a reasonable standard for the dissolution of the company. In addition, it points out that our country can introduce the system of compulsory equity replacement and the system of compulsory separation in Anglo-American law. In short, in the case of shareholders' request for judicial dissolution of the company, the judge should take fairness as the basis point, give consideration to efficiency, carry out appropriate judicial intervention, draw the essence of civil law, especially the principle of contract law, and adopt appropriate interpretation and discretion. Combined with the facts of the specific case, the interests of the parties to achieve a balance between the parties.
