公司信用保障机制之争的二重维度及可能进路

【摘要】：公司信用是公司履行或偿还债务的能力。保障公司信用的论争表现出内部性与外部性之争及资本效用论与资本无效论用之争二重维度。内部性保障机制是通过公司法自身的规则调整公司组织体内部利害关系人间的权利义务来保障债权,外部性保障机制是通过公司法外的规则调整公司整体与公司外部利害关系人间的权利义务来保障债权。资本效用论主张资本要素对公司信用的实现程度具有实质性作用。资本无效用论否认这一点。每重维度中均存在着非此即彼的偏激立场,这种立场是不妥的。承认内部性和外部性机制双重保护的功效,以及既不承认资本的"全能"效用又不否认资本一定效用的做法,有利于公司信用的实现。
[Abstract]:Corporate credit is the ability of a company to meet or repay its debts. The controversy over the protection of corporate credit shows two dimensions: internal and external, and the use of capital utility and capital invalidation. The internal safeguard mechanism is to protect the creditor's rights by adjusting the rights and obligations of the stakeholders in the internal part of the company through the rules of the company law itself. The externality safeguard mechanism is to protect the creditor's rights by adjusting the rights and obligations of the whole company and the outside interests of the company through the rules outside the company law. The theory of capital utility claims that capital elements play a substantial role in the realization of corporate credit. The theory of inefficient use of capital denies this. In each dimension there is a radical position of either or, which is inappropriate. It is beneficial to the realization of company credit to recognize the double protection effect of internal and external mechanism, as well as not to admit the "omnipotent" utility of capital or deny the certain utility of capital.
