【摘要】： 董事责任保险,是董事及高级管理人员责任保险的简称,是指公司的董事及高级管理人员在履行其职务的过程中,因其过错行为导致公司或者第三人遭受经济损失而依法应承担赔偿责任时,由保险公司按照保险合同来提供赔偿的一种保险制度董事责任保险制度设计之初的主要目的就是为了保护公司的董事和高级管理人员的利益,从而维护公司的稳定和市场经济的有序运行。在复杂的市场经济环境下,董事和高级管理人员作为公司的实际经营者和主要决策者,在进行管理活动时必然会面临各种各样的风险,因此也不可避免地会因为判断的失误或者市场形势变化等原因给公司或者第三人带来损失而被追究责任,导致董事和高级管理人员需要支付与其收入差异巨大的巨额赔偿金和诉讼费用,这无疑增加了董事和高级管理人员在决策时的后顾之忧,也在客观上导致了董事和高级管理人员权利和义务的不对等,因此,为了平衡这种不对等的状态和降低董事和高级管理人员在履行职务的过程中可能引致的职业风险而使其能够安心工作,董事责任保险制度应运而生。其对于完善公司治理结构,维护董事及高级管理人员的合法权益,保护股东及第三人的合法利益具有重大的意义。改革开放以来,我国一直在进行社会主义经济体制改革。改革的主要目标是建立社会主义市场经济,而在西方发达国家运行多年的公司制度正是市场经济的重要组成部分,因此成为我国学习和借鉴的主要模式。目前,我国已经完全确立了公司制度,市场上出现了以股份公司为主的各种公司形式。与西方发达国家相同,我国的公司制度在发展运行的过程中,也不可避免的暴露出了一些问题,为了解决这些问题,就不得不深入了解和引进西方发达国家公司制度的相关配套制度,董事责任保险制度正是这样的相关配套制度之一。鉴于新公司法建立了民事责任追究体系,本文认为我国已经具备了董事责任保险制度生存和发展的空间,但在法律规范方面还需要进行进一步的改革和完善。本文采用了比较分析与理论联系实际的方法,对董事责任保险制度进行了较为充分的论述,并结合国外立法经验和国内相关的法律法规,提出了董事责任保险制度在中国本上化的完善对策。本文正文部分共分为三个部分第一部分即第一章,概要阐述了董事责任保险的概念以及其产生的历史背景和在世界范围内的发展情况。第二部分即第二章,着重对董事责任保险所涉及的有关法理问题进行了阐述和分析。包括董事的法律地位、义务和责任问题,并认为董事的民事责任是董事责任保险的重要法律基础。第三部分即第三章,提出了存在于我国董事责任保险制度发展过程中的一系列制度缺陷以及一些有待克服的困难并对此项制度在我国的完善提出了具体建议。
[Abstract]:Director liability insurance is the abbreviation of directors' and senior managers' liability insurance. It refers to the directors and senior managers of a company in the course of performing their duties, An insurance system whereby an insurance company shall provide compensation in accordance with the contract of insurance when the company or a third party is liable according to law for the financial loss incurred by the company as a result of its wrong behavior. The main purpose of directors' liability insurance system at the beginning of its design is to protect the interests of directors and senior managers, and thus to maintain the stability of the company and the orderly operation of the market economy. In the complex market economy environment, directors and senior managers, as the actual operators of the company and the main decision makers, will inevitably face a variety of risks in their management activities. As a result, it is inevitable that the company or the third party will be held responsible for errors in judgment or changes in the market situation, and so on, resulting in losses to the company or the third party. The fact that directors and senior managers have to pay huge amounts of compensation and litigation costs that differ greatly from their income undoubtedly adds to the concerns of directors and senior managers in making decisions. It also objectively leads to the unequal rights and obligations of directors and senior managers. In order to balance this unequal state and reduce the occupational risks that may be caused by directors and senior managers in the process of performing their duties, directors' liability insurance system emerges as the times require. It is of great significance to perfect the corporate governance structure, safeguard the legitimate rights and interests of directors and senior managers, and protect the legitimate interests of shareholders and third parties. Since the reform and opening up, China has been carrying out socialist economic system reform. The main goal of the reform is to establish a socialist market economy, and the company system, which has been running in the western developed countries for many years, is an important part of the market economy, so it has become the main model for our country to learn and learn from. At present, our country has established the company system completely, in the market has appeared with the stock company primarily each kind of company form. As in the western developed countries, in the process of development and operation of our company system, some problems are inevitably exposed. In order to solve these problems, We have to deeply understand and introduce the relevant supporting systems of the western developed countries, the director's liability insurance system is one of the relevant supporting systems. In view of the establishment of the civil liability investigation system in the new company law, this paper holds that China already has room for the survival and development of the directors' liability insurance system, but it needs further reform and improvement in terms of legal norms. This article adopts the method of comparative analysis and theory combining with practice, discusses the director's liability insurance system more fully, and combines the foreign legislative experience and the domestic related laws and regulations. Put forward the perfect countermeasure of the director's liability insurance system in China. The text of this paper is divided into three parts The first part, the first chapter, summarizes the concept of director liability insurance, its historical background and the development in the world. The second part is the second chapter, focusing on the director liability insurance involved in the relevant legal issues are expounded and analyzed. It includes the legal status, obligation and liability of directors, and holds that the civil liability of directors is the important legal basis of directors' liability insurance. The third part, the third chapter, puts forward a series of system defects and some difficulties that need to be overcome in the development of the director's liability insurance system in our country, and puts forward some concrete suggestions for the perfection of this system in our country.
