日本公司法对我国公司立法的启示

【摘要】：为完善公司治理结构、提高公司的国际竞争力,日本于2014年6月颁布最新公司法,并于2015年5月1日开始实施。修改内容主要涉及公司治理结构、母子公司关系、公司重组等相关法律规制的完善。日本新公司法通过采用"设置监查等委员会之公司"制度来促进公司治理模式的多元化,并引进多重股东代表诉讼保护母公司股东权益,从而完善母子公司关系的法律规制,对我国公司法制的发展具有借鉴意义。
[Abstract]:In order to improve the corporate governance structure and enhance the international competitiveness of the company, Japan promulgated the latest company law in June 2014 and implemented it on May 1, 2015. The revision mainly involves the improvement of the corporate governance structure, the relationship between parent and subsidiary companies, the reorganization of companies and other related laws and regulations. The new Japanese company law promotes the diversification of corporate governance mode by adopting the system of "company with supervisory committee", and introduces multiple shareholder representative litigation to protect the rights and interests of parent company shareholders, thus perfecting the legal regulation of parent-subsidiary relationship. It can be used for reference for the development of the corporate legal system in our country.
