知识产权出资法律制度研究

【摘要】：知识产权作为新型财产,越来越多的被现代企业所运用,成为形成市场竞争优势的重要资产。顺应这一趋势,《公司法》修改后将知识产权完整地列为可出资财产,并降低了对其比例的限制,从而使得知识产权能在企业中发挥更为重要的作用。在进行知识产权出资活动中,存在许多值得关注的问题。本文首先阐述了知识产权出资的基本概况,并介绍了将其用于出资的主要标的物(专利权、商标权、著作权及商业秘密)。进而分析在出资过程中至关重要的知识产权评估过程中,各种标的物评估所面对的法律问题。接下来,对于知识产权出资的法律风险进行分析,这也是限制知识产权投资的主要因素。于是,本文对于风险形成的原因进行论述,主要从知识产权的特性出发,并对风险类型进行了归类,主要有:基于知识产权基本性质出资风险(价值不稳定性带来的风险、易受侵权性带来的风险、知识产权的时空性带来的风险),基于知识产权特殊规定的风险(知识产权权利不稳的风险、知识产权交易复杂的风险)和基于知识产权权属瑕疵的风险三类。为更好地促进知识产权资本化,首先需要对上述风险进行规制。本文以时间为轴,分别就事前预警、事中防范和事后救济分别展开论述。最后,基于前文的论述,文章最后一部分尝试对知识产权出资法律制度的完善提出几点建议,以期对该资本化行为的促进和完善做出一些贡献。主要是在出资基本条件、基本程序、评估制度和法律责任四个方面进行。
[Abstract]:As a new type of property, intellectual property is more and more used by modern enterprises and becomes an important asset to form market competitive advantage. In accordance with this trend, intellectual property rights are listed as capital contribution property completely after the amendment of Company Law, and the limitation on the proportion of intellectual property is reduced, so that intellectual property rights can play a more important role in enterprises. In the intellectual property investment activities, there are many problems worth paying attention to. This paper first describes the basic situation of intellectual property capital contribution, and introduces the main subject matter (patent right, trademark right, copyright and trade secret) used for capital contribution. Then it analyzes the legal problems faced by various subject matter evaluation in the process of intellectual property evaluation, which is very important in the process of capital contribution. Then, the legal risk of intellectual property investment is analyzed, which is also the main factor restricting intellectual property investment. Therefore, this paper discusses the reasons for the formation of risk, mainly from the characteristics of intellectual property rights, and classifies the types of risks, mainly based on the basic nature of intellectual property capital risk (the risk of value instability, Risks arising from vulnerability to infringement, risks from space-time nature of intellectual property rights, risks based on specific provisions of intellectual property rights (risks of unstable intellectual property rights, The complex risk of intellectual property transaction) and the risk based on the defect of intellectual property right. In order to better promote the capitalization of intellectual property, it is necessary to regulate the above risks. This paper, on the axis of time, discusses the forewarning, prevention and relief respectively. Finally, based on the previous discussion, the last part of the article tries to put forward some suggestions on the perfection of the legal system of intellectual property capital contribution, in order to make some contributions to the promotion and perfection of the capitalization. It is mainly carried out in four aspects: basic conditions, basic procedures, evaluation system and legal liability.
