【摘要】：股票期权激励制度一直受到了许多人的质疑。本文从人力资本理论和委托代理理论两个角度阐述了股票期权激励制度的理论基础,并结合美国公司法改革对股票期权激励制度的有效运行环境做了全面系统分析。
[Abstract]:Stock option incentive system has been questioned by many people. This paper expounds the theoretical basis of stock option incentive system from two angles of human capital theory and principal-agent theory, and makes a comprehensive and systematic analysis of the effective operating environment of stock option incentive system in combination with the reform of American company law.
