一人公司人格否认之诉

【摘要】：我国公司法承认了一人公司这种公司形式,并且对公司人格否认制度进行了原则性的规定。相比普通公司,一人公司的人格更容易被其唯一股东所滥用,所以很有必要在一人公司中适用公司人格否认制度。根据世界上主要国家的经验和这一制度的特性,在我国一般通过诉讼的方式来实现对一人公司独立人格的否认。 文章首先通过对公司人格否认制度及公司人格否认的实现作简要分析,认识到在一人公司情况下更应适用一人公司人格否认制度对债权人利益进行保护。其次,用比较分析的方法对我国一人公司人格否认诉讼中的一些实际问题展开论述,以民事诉讼的角度认识这一公司制度并得到相关结论。最后,对我国一人公司人格否认在民事诉讼实践中的发展作了阐述,对其中的一些热门问题提出了自己的观点。本文通过对一人公司人格否认之诉的研究,对我国实践中的相关问题做了分析论述,希望可以对我国此类诉讼的司法实践有所助益。
[Abstract]:The company law of our country has recognized the company form of one-man company, and has carried on the principled stipulation to the system of denying the personality of the company. Compared with ordinary company, the personality of one-person company is more easily abused by its only shareholder, so it is necessary to apply the system of corporate personality denial in one-person company. According to the experience of the major countries in the world and the characteristics of this system, the independent personality of one-person company is generally denied by litigation in our country. Based on the brief analysis of the system of corporate personality denial and the realization of corporate personality denial, this paper realizes that the system of one-man corporate personality denial should be applied to protect the interests of creditors in the case of one-man company. Secondly, with the method of comparative analysis, this paper discusses some practical problems in the lawsuit of one-person company personality denial in our country, and from the angle of civil litigation, we know the company system and get some relevant conclusions. Finally, this paper expounds the development of personality denial of one-man company in the practice of civil litigation, and puts forward its own views on some of the hot issues. Through the research of one-man company personality denial action, this paper analyzes and discusses the related problems in our country's practice, hoping to be helpful to the judicial practice of this kind of litigation in our country.
