清末民初的派生诉讼制度考察

【摘要】：派生诉讼作为一项以公司利益受损为诉因的法律制度,其出现以公司出现为前提,其存在以公司存在为必要。从清末颁布《公司律》,再到北洋政府颁布《公司条例》,最后到南京国民政府1929年颁布《公司法》,其间历时数十年。这数十年的时间里,中国经历了前所未有的大变局,中国人的传统观念、思维方式、行为模式等都发生了巨大变化。派生诉讼作为一项较为高级的公司法律制度,其出现所依赖的条件在这些变化中悄然成熟,最终在南京国民政府1929年《公司法》中得以正式确立。
[Abstract]:Derivative action as a legal system based on the damage to the interests of the company, its appearance is premised on the appearance of the company, and its existence is necessary for the existence of the company. It lasted decades from the promulgation of the Company Law in the late Qing Dynasty, to the promulgation of the Company regulations by the Beiyang Government, and finally to the promulgation of the Company Law by the Nanjing National Government in 1929. In the past few decades, China has experienced unprecedented changes, and great changes have taken place in the traditional concept, mode of thinking and behavior pattern of the Chinese people. Derivative action as a more advanced corporate legal system, its appearance depends on the conditions quietly matured in these changes, and finally was formally established in the 1929 Company Law of Nanjing National Government.
