论信用证交易中议付行的法律地位

【摘要】:议付是指定银行在相符交单下,在其应获偿付的银行工作日当天或之前向受益人预付或者同意预付款项,从而购买汇票及\或单据的行为。议付行在信用证议付流程中处于核心地位,但关于其法律地位却一直存在争议,其与开证行、受益人的权利义务划分也得不到明晰。笔者希望通过梳理国际惯例及操作实务,为信用证议付规则的完善提供参考及帮助。 本文第一章分析了议付的定义、性质,指出了UCP600对议付定义的完善之处,分析出议付兼具融资及买入汇票\单据的法律性质。第二章评析了关于议付行在信用证交易中法律地位的理论,包括开证行之代理人说、受益人之代理人说、正当持票人说及债权转移说,认为上述学说都不能解决议付行的法律地位问题。本人经研究,认为议付行应为独立的议付法律关系的主体。 本文第三章通过研究UCP600的规定及信用证实务,总结出议付行对开证行、受益人、单证及货物的权利以及免责权,并归纳了议付行应承担的义务。第四章就理论界较为关注的议付行对受益人的追索权问题进行了深入研究,分析了议付行是否具有追索权、享有议付权的情形及追索权法律依据的问题。第五章详细分析了议付行对所持提单的权利,第六章分析了议付行的风险来源并提出具体的风险防范措施。最后,文章第六章就完善信用证议付的司法解释提出了建议,认为司法解释要明确议付行独立的议付法律关系主体的地位,阐明议付行对所持提单的权利为所有权,明确追索权的适用情形。
[Abstract]:Negotiation refers to the act of specifying a bank to prepay or agree to prepay the beneficiary's draft and/or documents on or before the working day of the bank payable under a compliance document. The negotiating bank is at the core of the negotiation process of a letter of credit, but its legal status has been controversial with the issuing bank. The author hopes to provide reference and help for the improvement of L/C negotiation rules by combing international practices and operational practices.
Chapter 1 analyzes the definition and nature of negotiation, points out the perfection of UCP600's definition of negotiation, and analyzes the legal nature of negotiation with both financing and purchasing bills of exchange. Chapter 2 reviews the theory of the legal status of negotiating banks in L/C transactions, including the agent of the issuing bank and the agent of the beneficiary. The holder of the Bill said that the theory of transfer of creditor's rights could not solve the legal status of the negotiating bank.
Chapter 3 summarizes the rights and exemptions of negotiating banks to issuing banks, beneficiaries, documents and goods, and concludes the obligations of negotiating banks. Chapter 4 makes a thorough study of the right of recourse of beneficiaries by negotiating banks, which are concerned by theoretical circles. Chapter 5 analyzes the rights of negotiating bank to the bill of lading in detail, Chapter 6 analyzes the sources of risks of negotiating bank and puts forward specific risk prevention measures. Finally, Chapter 6 puts forward suggestions on improving the judicial interpretation of L/C negotiation. For judicial interpretation, it is necessary to clarify the status of the negotiating bank as the subject of independent negotiation legal relationship, clarify that the right of the negotiating bank to hold the bill of lading is the ownership, and clarify the application of the right of recourse.
