劳务分包合同研究

【摘要】:近年来,随着我国加入世界贸易组织,以及建筑市场由计划经济模式向市场经济模式的转变,建筑市场改革的速度越来越快。如今,我国建筑市场已经建立了比较完善的法律化、规范化的管理制度,并在此基础上不断的完善,逐渐从行政管理向法制管理转变。施工企业为了降低成本,会将承接工程项目的劳务作业部分分包给专业的劳务作业队伍,因此,产生了劳务分包合同。 劳务分包合同是合同法定义下的合同之一,是工程总承包人和劳务分包人为了完成约定的建筑安装工程,明确相互权利、义务关系的合同。由于,在项目管理中,管理者常常认为劳务分包在项目管理中无足轻重,而常常被忽视。这是一个管理误区。劳务分包合同因自身的特点,无法完全照搬施工合同中的内容。其合同条款只能根据实际情况,按照双方的具体要求进行拟定。因此,要求合同管理人员认真分析合同,明确合同义务,运用合同条款进行监督和约束。 本论文以劳务分包合同为研究对象。在研究过程中,采用定性的研究方法,在借鉴相关专家和学者的原有研究成果的基础上,试图提出完善现有劳务分包合同的建议。 论文第一章是绪论部分,介绍了论文写作的背景,并且进行了相关文献的回顾和综述,提出了本文的研究内容和研究方法。 论文第二章是与劳务分包合同有关的理论基础。明确了劳务分包的相关概念,以及劳务分包合同的组成、特点。 论文第三章是劳务分包合同的分析。该章在合同分析的基础上,从合同权利与义务、风险分配以及计价与计量三个方面,对劳务分包合同进行了深入的分析。分析发现,在约定劳务分包合同的各项权利和义务时应遵循“分包商应承担并履行与分包工程有关的主合同规定承包商的所有义务与责任”的原则;在进行风险分配时,要求合同双方明确风险分配的原则,并且恰当的、灵活的运用这些原则进行风险分配;对于合同的计价与计量,,通过研究,论文得出了既能提高劳务分包人的积极性,又能有利于保证工程工期、质量等要求的激励型合同计价模式。 论文第四章是在前文的基础上,提出编制劳务分包合同的基本原则,指出劳务分包合同修订的重要点,最后,提出具体的完善建议。 论文第五章是总结全文,并对相关问题进行展望。
[Abstract]:In recent years, with China's accession to the World Trade Organization and the transformation of the construction market from the planned economy to the market economy, the speed of the construction market reform is getting faster and faster. At present, the construction market of our country has established relatively perfect legalization, standardized management system, and on this basis continuously consummates, gradually changes from the administration to the legal management. In order to reduce the cost, the construction enterprise will subcontract the labor service part of the project to the professional labor service team, therefore, the labor subcontract will be produced. Labor subcontract is one of the contracts defined by contract law. It is the contract between the general contractor and the labor subcontractor in order to complete the agreed construction and installation project and to define the relationship between the rights and obligations of each other. Because, in the project management, the manager often thinks that the labor subcontracting in the project management is not important, but is often ignored. This is a management mistake. Because of its own characteristics, the labor subcontract can not completely copy the contents of the construction contract. The terms of the contract can only be drawn up according to the actual situation and in accordance with the specific requirements of both parties. Therefore, contract managers are required to carefully analyze the contract, clarify the contractual obligations, and use the terms of the contract to supervise and restrict the contract. This paper takes the labor subcontract as the research object. In the course of the research, using qualitative research method and referring to the original research results of relevant experts and scholars, this paper tries to put forward some suggestions to improve the existing labor subcontract. The first chapter is the introduction part, which introduces the background of the thesis writing, reviews and summarizes the relevant literature, and puts forward the research content and research methods of this paper. The second chapter is the theoretical basis of labor subcontract. It clarifies the concept of labor subcontract, the composition and characteristics of labor subcontract. The third chapter is the analysis of labor subcontract. On the basis of contract analysis, this chapter makes a deep analysis of labor subcontract from three aspects: contract rights and obligations, risk distribution, valuation and measurement. The analysis found that the rights and obligations of the labor subcontract should be agreed in accordance with the principle that the subcontractor should undertake and perform all the obligations and responsibilities of the contractor under the main contract relating to the subcontract. Require both parties to make clear the principles of risk distribution, and appropriately, flexibly use these principles to allocate risks; for the valuation and measurement of the contract, through the study, the paper can not only improve the enthusiasm of labor subcontractors, It also helps to ensure the project duration, quality and other requirements of the incentive contract pricing model. The fourth chapter puts forward the basic principles of compiling labor subcontract, points out the important points of the revision of labor subcontract, and finally puts forward some concrete suggestions. The fifth chapter is a summary of the full text and prospects for related issues.
