人事保证合同的法律规制

【摘要】:人事保证合同本质上是一种诚信风险防范措施。随着我国社会主义市场经济快速发展,市场竞争日趋激烈,诚信风险防范显得更加重要。目前,我国尚未建立起规范的信用制度和体系,因此,采用人事保证合同不失为防范和减少诚信风险的一种可行措施。然而,由于人事保证合同在我国法律体系中的阙如,导致司法实践中人事保证合同纠纷适用法律的混乱,其显然已危及到司法裁判的权威性、法律的安定性以及民众对法律的信仰。有鉴于此,本文尝试对人事保证合同进行研究,以期对我国立法、司法实践有所裨益。 本文通过案例分析、立法比较等方法,围绕人事保证合同的相关法律问题展开较深入的分析与探讨。全文共分为包括导论的五个部分对人事保证合同的问题予以讨论。 第一部分,导论。这一部分就我国目前在人事保证相关法规缺失的情形下,司法与实践的混乱提出文章所关注的问题和研究对象,同时对相关文献进行整理,以找到本文的研究起点。 第二部分,人事保证合同纠纷的类案分析。本章节笔者对三个典型的人事保证合同案件的事由和结果进行综合比较分析。引出我国目前人事保证合同纠纷案件认定中存在的问题,究竟何谓人事保证?人事保证应该如何定性?针对其中两个案件适用同一法条却得出不同结论,从而引出对《劳动合同法》第9条的深度解读。 第三部分,人事保证合同的理论基础。这一章阐述了人事保证的缘起,概念特征及性质,着重分析了人事保证与一般保证、损害担保契约的区别。在这部分的最后一小节讨论了关于人事保证合同效力的论争,并在此基础上标明自己的立场,为后文我国的人事保证制度构建打下理论基础。 第四部分,域外人事保证合同的法律规制的比较分析。这一部分笔者通过对瑞士、日本、英美法系国家以及我国台湾地区有关人事保证制度的规定进行比较分析。通过分析各个国家或地区的此项制度,取其精华、取其糟粕,更好的为我国制度构建所借鉴。 第五部分,人事保证合同法律适用的改进建议。该部分笔者对通通过对各国的立法模式比较以及我国的现实情况,认为人事保证应当放在担保法的保证制度中加以规定。并从保证的范围限制、保证的数额限制、保证的期间限制、以及保证的方式只能限定为一般保证等几个方面对人事保证制度的立法完善提出了建议,并在文章的最后提出了公平原则、过错原则、合理赔偿原则三个原则作为人事保证合同的指导原则。
[Abstract]:Personnel guarantee contract is essentially a good faith risk prevention measure. With the rapid development of China's socialist market economy and the increasingly fierce market competition, it is more important to guard against the risk of good faith. At present, our country has not established the standard credit system and system, therefore, the personnel guarantee contract is a feasible measure to prevent and reduce the credit risk. However, due to the absence of the personnel guarantee contract in our country's legal system, it leads to the confusion of the law applicable to the personnel guarantee contract dispute in the judicial practice, which obviously endangers the authority of the judicial judgment. The stability of the law and the people's belief in the law. In view of this, this paper tries to study the personnel guarantee contract in order to benefit our legislation and judicial practice. Through case analysis, legislative comparison and other methods, this paper makes a deep analysis and discussion on the legal issues related to the personnel guarantee contract. The full text is divided into five parts including introduction to discuss the issue of personnel guarantee contract. The first part, introduction. In this part, the author puts forward the problems and objects of study on the confusion of judicature and practice in the absence of relevant laws and regulations of personnel guarantee in our country. At the same time, it collates the relevant documents in order to find the starting point of this paper. The second part, the personnel guarantee contract dispute category case analysis. In this chapter, the author makes a comprehensive comparative analysis of the causes and results of three typical personnel guarantee contract cases. Leads to the current personnel guarantee contract disputes in our country in the identification of the problems, what is the personnel guarantee? How should personnel guarantee be qualified? In view of two cases applying the same law, different conclusions are drawn, which leads to the deep interpretation of Article 9 of the Labor contract Law. The third part, the theory foundation of personnel guarantee contract. This chapter expounds the origin, concept and nature of the personnel guarantee, and analyzes the difference between the personnel guarantee and the general guarantee and damages the security contract. In the last section of this part, the author discusses the controversy about the validity of the personnel guarantee contract, and on this basis indicates his own position, which lays a theoretical foundation for the later construction of the personnel guarantee system in our country. The fourth part, the foreign personnel guarantee contract legal regulation comparative analysis. In this part, the author makes a comparative analysis of the regulations of the personnel guarantee system in Switzerland, Japan, Anglo-American law countries and Taiwan. Through the analysis of the system of each country or region, take its essence, choose its dregs, better for our system construction. The fifth part, the personnel guarantee contract law application improvement suggestion. In this part, the author thinks that the personnel guarantee should be stipulated in the guarantee system of the guaranty law through the comparison of the legislative models of various countries and the reality of our country. And from the scope of the guarantee, the amount of the guarantee limit, the guarantee of the period limit, as well as the way of guarantee can only be limited to the general guarantee and other aspects of the personnel security system to improve the legislative recommendations, At the end of the article, the author puts forward three principles: fair principle, fault principle and reasonable compensation principle as the guiding principles of personnel guarantee contract.
