【摘要】：随着工业化的迅速发展和物质文明的高度发达,人类面临着日趋严峻的环境问题,如何在促进经济发展的同时保护环境,实现人与自然的和谐发展已成为所有人类面临的课题。环境问题的解决,需要相关制度的完善。与其它环境制度相比,排污权交易制度采用市场激励机制,改变了传统以政府配置环境容量资源为主的管制型环境管理模式,以市场作为配置资源的主要手段,能有效促进排污企业自觉保护环境,得到了许多国家的认可。目前,我国的排污权交易仅处在部分城市试点阶段,为使排污权交易制度在我国正式推广,学者们对此制度予以了很大关注。 排污权交易制度体系包含排污权的初始分配制度、排污权交易合同制度、政府监管制度等,其中排污权交易合同制度应属于排污权交易制度体系中的核心问题,因为排污权交易的具体落实需要通过签订合同的方式实现,然而学者们对排污权交易制度的研究大多集中在环境经济学领域和环境法学方面,从民法角度对排污权交易合同制度的关注较少。本文试图从民法角度研究排污权交易合同的性质及法律关系,为我国排污权交易合同制度的构建提供一些思路。 首先,本文对排污权交易合同制度的基本理论进行介绍,在对排污权及排污权交易制度的概念界定的基础上,分析排污权交易制度的逻辑构成要素,以及排污权交易合同制度的概念、特征。在以上基础性理论研究的前提下,分析国内外排污权交易合同的实践,以及我国在实践中存在的问题。其次,文章从公法和私法不同视角下研究排污权交易合同的法律地位,认为在环境法视角下,排污权交易合同制度是政府利用市场机制保护环境的制度；在民法视角下,排污权交易合同的性质是一种新型民事合同。最后,本文从合同法的角度对排污权交易合同制度法律关系的构建、相关保障制度的建立以及对于排污权交易合同的立法确认提出设想。排污权交易合同法律关系的构建与一般民事法律关系不同。例如,排污权交易合同具有环境保护的公法目的,因此该合同突破了合同相对性原则,政府和公民有权对该合同实行监督,以保障合同的履行符合环保目的。对排污权交易合同的立法确认分两步,一方面,对现行的《环境保护法》作必要的修改补充,在增设排污权交易制度的基础上,规定排污权交易合同制度适用我国《合同法》的规定。另一方面,完善我国《合同法》的规定,增加环境民事合同的相关规定,排污权交易合同属于其中一种合同类型。
[Abstract]:With the rapid development of industrialization and the highly developed material civilization, human beings are facing increasingly serious environmental problems. How to protect the environment while promoting economic development and realize the harmonious development of man and nature has become a subject facing all human beings. The solution of environmental problem needs the perfection of relevant system. Compared with other environmental systems, the emission trading system adopts the market incentive mechanism, which changes the traditional regulatory environmental management model, which is dominated by the allocation of environmental capacity resources by the government, and takes the market as the main means of allocating resources. Can effectively promote sewage enterprises to protect the environment consciously, has been recognized by many countries. At present, the emission trading in China is only in the pilot stage in some cities. In order to make the emission trading system official in our country, scholars have paid great attention to it. The system of emission trading system includes the initial allocation system of emission right, the system of emission trading contract, the system of government supervision and so on, among which the system of emission trading contract should belong to the core problem of the system of emission trading. Because the implementation of emission trading needs to be realized by signing contracts, however, most of the scholars' researches on the emission trading system focus on the field of environmental economics and environmental law. From the angle of civil law, little attention has been paid to the system of emission trading contract. This paper attempts to study the nature and legal relationship of emission trading contract from the angle of civil law, and provide some ideas for the construction of emission trading contract system in China. First of all, this paper introduces the basic theory of emission trading contract system, analyzes the logical elements of emission trading system on the basis of defining the concept of emission right and emission trading system. And the concept and characteristics of emission trading contract system. On the premise of the above basic theoretical research, this paper analyzes the practice of domestic and foreign emission trading contract and the problems existing in the practice of our country. Secondly, the article studies the legal status of emission trading contract from different perspectives of public law and private law, thinks that under the angle of environmental law, the system of emission trading contract is the system that the government uses market mechanism to protect the environment; The nature of emission trading contract is a new type of civil contract. Finally, from the point of view of contract law, this paper puts forward some ideas on the construction of legal relationship of emission trading contract system, the establishment of relevant safeguard system and the legislative confirmation of emission trading contract. The construction of the legal relationship of emission trading contract is different from that of general civil law. For example, the emission trading contract has the public law purpose of environmental protection, so the contract breaks through the principle of relativity of contract, and the government and citizens have the right to supervise the contract in order to ensure that the performance of the contract conforms to the purpose of environmental protection. The legislative confirmation of emission trading contracts is divided into two steps. On the one hand, necessary amendments and supplements are made to the existing Environmental Protection Law, and on the basis of the establishment of the emission trading system, The regulation of emission trading contract system is applicable to the contract law of our country. On the other hand, the regulations of contract Law of our country should be perfected and the relevant provisions of environmental civil contract should be added. The contract of emission right trading belongs to one of the types of contract.
