对我国建设工程价款优先受偿权制度的探讨

【摘要】:长期以来,我国建筑行业中一直存在着较为严重的建设工程款拖欠现象,这一问题产生了一系列影响社会稳定的负面因素,阻碍我国建筑行业与社会经济的健康发展。在此社会背景下,我国通过立法,确立了建设工程价款优先受偿权制度,一定程度上起到了保障建设工程价款得以清偿的作用,但目前我国现行法律中,仅有《合同法》第286条及其相关司法解释寥寥数条对这一问题进行规定,且规则内容过于原则化,缺乏更为详尽、具体的规定,以至于在审判实践中引起了很多争议,甚至导致有的法院在适用法律时忘而却步,因此,进一步通过立法实务优化与完善我国建设工程价款优先受偿权制度迫在眉睫。为实现上述目的,首先需要以我国现有法律规定为基础,对该优先受偿权进行全面、深入的分析,通过对其法律属性、权利主体、权利客体、受偿范围、成立要件、行使条件及该项权利与其它权利的冲突问题等各方面因素进行充分了解,归纳得出建设工程价款优先受偿权的本质为担保物权。除此之外,还应对世界上其它国家就同一范畴的立法模式进行分析,主要包括先取特权模式、让与担保模式、施工留置权模式与法定抵押权模式等,通过揭示各国立法模式的特点与优劣,以其为参照,可总结出我国现行立法中的不足之处,并可借鉴各国立法模式中的优势因素,完善我国现行立法。而完善方案则主要体现在以下几个方面:1、扩大其权利主体范围;2、扩大其权利客体范围;3、明确该权利不得放弃,放弃无效;及4、明确该权利应优先于税收优先权,等。总之,我国现行建设工程价款优先受偿权制度存在多方面的不足,为使该制度更为有效的发挥其调节相应社会关系的作用,国家应尽快出台配套法律加以规制,解决目前某些方面无法可依的现状。
[Abstract]:For a long time, the construction industry in our country has been in serious arrears of construction funds, which has produced a series of negative factors that affect social stability. In this social background, our country has established the system of preferential payment of construction project price through legislation, which to a certain extent has played the role of ensuring that the construction project price can be paid off. However, in the current law of our country, only Article 286 of the contract Law and its related judicial interpretation provide for this problem, and the contents of the rules are too principled and lack of more detailed and specific provisions. That has caused a lot of controversy in trial practice, and even led some courts to forget about the application of the law, so, It is urgent to optimize and perfect the priority compensation system of construction project price through legislative practice. In order to achieve the above purpose, it is necessary to make a comprehensive and in-depth analysis of the priority compensation right based on the existing laws and regulations of our country. Through the full understanding of the legal attribute, the subject of the right, the object of the right, the scope of compensation, the elements of establishment, the conditions for exercising the right and the conflict between the right and other rights, etc. It is concluded that the essence of the priority right of payment for construction project is security interest. In addition, other countries in the world should also analyze the legislative model of the same category, mainly including the preferential mode, the transfer mode, and the guarantee mode. The construction lien mode and the legal mortgage mode, by revealing the characteristics, merits and demerits of the legislative models of various countries and taking them as reference, can sum up the deficiencies in the current legislation of our country and draw lessons from the advantages of the legislative models of various countries. To perfect the current legislation of our country, and the perfect scheme is mainly embodied in the following aspects: 1, expanding the scope of the subject of its right, expanding the scope of the object of its right, making it clear that the right can not be given up, renouncing is invalid; In short, there are many shortcomings in the current construction project price priority right system in our country. In order to make the system more effective in regulating the corresponding social relations, it is clear that this right should take precedence over tax priority, and so on, in order to make this system play a more effective role in regulating the corresponding social relations, The state should introduce supporting laws as soon as possible to solve the current situation which some aspects can not follow.
