团体法的基本原则研究

【摘要】：团体法的核心内容是人的结合,其价值取向是效率,这与作为个人法的民法相比有明显的不同。从团体法的私法属性出发,意思自治似乎应当成为团体法的基本原则,只是应当因应团体法的特性而体现为团体自治原则,而团体自治的基本方式就是多数决制度;从团体法与个人法的差别出发,区分原则应当成为处理团体内部关系和外部关系的基本准则;从团体的拟制性出发,团体法原则应当成为团体设立、变更或者消灭的基本原则。因而,团体法具有不同于个人法(民法)的品格,我国在制定《民法典》的过程中必须关注这一点,从而为团体法的发展保留适度的空间。
[Abstract]:The core content of group law is the combination of human beings, and its value orientation is efficiency, which is obviously different from civil law as individual law.Starting from the private law attribute of group law, it seems that autonomy of will should be the basic principle of group law, but it should be embodied as the principle of group autonomy according to the characteristics of group law, and the basic way of group autonomy is the system of majority determination.Starting from the difference between group law and individual law, the principle of distinction should become the basic criterion for dealing with the internal and external relations of the group, and from the fictitious nature of the group, the principle of group law should become the basic principle of the establishment, change or elimination of the group.Therefore, the group law is different from the individual law (civil law) in character, our country must pay attention to this point in the process of making the "Civil Code", thus reserve the moderate space for the development of the group law.
