论职务科技成果转化利益分配的约定优先原则

【摘要】：利益驱动是职务科技成果有效转化的关键因素之一,合理的利益分配需尊重当事人的意思自治,遵循约定优先原则。约定优先原则有利于厘清复杂的利益关系、符合私法意思自治的法理、能克服法律规定之不足。约定有效是约定优先原则适用的前提,对其效力判断主要依据合同法和劳动法的相关规定。职务科技成果转化利益分配的约定不受制于法定最低标准(除非为强制性标准);利益分配约定的合理性审查,应以形式审查为主。同时,基于雇佣双方地位不平等,应对约定优先原则加以限制,以平衡各方主体的利益诉求,促进职务科技成果转化。
[Abstract]:Interest driving is one of the key factors for the effective transformation of the achievements of post science and technology. The reasonable distribution of interests should respect the autonomy of the parties' will and follow the principle of agreement priority.The principle of preemptive agreement is helpful to clarify the complicated interest relation, accord with the legal principle of autonomy of meaning in private law, and overcome the deficiency of the law.The validity of agreement is the premise of the application of the principle of agreement priority, and its validity is judged mainly according to the relevant provisions of contract law and labor law.The agreement on the distribution of benefits in the transformation of post scientific and technological achievements is not subject to the legal minimum standard (except for the mandatory standard; the rational examination of the agreement on the distribution of benefits should be based on formal examination.At the same time, based on the unequal position of both employers and employees, the principle of agreement priority should be restricted in order to balance the interests and demands of all parties and to promote the transformation of the achievements of post science and technology.
