商标权共有研究

【摘要】:商标权作为一种知识产权,在推动经济发展中起着不可或缺的作用,一个商标的价值可以达到上千亿。随着经济的发展,市场竞争越来越激烈,商标权共有成为企业联合,壮大彼此实力的一种途径,也成为提升商标价值的一种方法。商标权共有是一个比较新的概念,我国《商标法》规定了商标权共有的形式,共有人通过共同申请来获得共有商标权,规定了申请时需要选定代表人,但对其性质、类型以及代表人的权利与义务等内容没有明确的规定。商标权共有的情况逐渐增多,许多问题也随之浮出,如是否限定商标权共有人的主体资格,共有商标权转让时是否需取得其他共有人同意,商标权共有人的权利与义务不清晰。本文在研究一般共有理论的基础上,依照以下思路对商标权共有进行研究:首先,分析一般共有的概念,依照《商标法》的规定,结合商标权的特性,阐述商标权共有的基本概念,认为商标权共有即是两个或两个以上的民事主体通过共同申请行为共同享有同一商标的专有权;将商标权共有与集体商标、商标共存等易混淆的概念进行辨析,分析商标权共有的特征。相比传统民法中的共有以及商标权的单独所有,商标权共有有其特殊性,它是一种知识产权共有也是商标权的一种共同所有。商标权共有需要注意对整个商标的维护、注重对商誉的维持以及避免误导消费者。商标权共有情形下对共有人的资格有所要求,共有人需要完成一定的行政登记行为,而且权利的保护期限与其他共有也不相同。其次,针对学者们比较有争议的问题进行分析与探讨,如商标权共有是否可以按照一般共有的规定进行分类,将不同的观点进行了分析比较。认为商标权共有可以分为按份共有和共同共有,当事人约定不明时,除具有身份关系外,商标权共有类型推定为按份共有,不同的共有类型需要遵循不同的行使规则。进而,以此为研究的基础,探讨了商标权共有中的行使问题,研究商标权共有中使用、处分与分割的特殊性。最后,基于已有的分析,指出存在的问题并提出相应的解决办法。提出完善相关法律制度的建议,确立商标权共有的一些基本原则,确立代表人制度以及登记备案等制度。
[Abstract]:As a kind of intellectual property right, trademark rights play an indispensable role in promoting economic development, and the value of a trademark can reach hundreds of billions. With the development of economy, market competition is becoming more and more fierce. Trademark ownership has become a way for enterprises to unite, strengthen each other's strength, and also become a way to enhance the value of trademark. Trademark ownership is a relatively new concept. The Trademark Law of our country stipulates the form of common trademark ownership, and the joint owner obtains the joint trademark right through joint application, which stipulates that the representative person should be selected when applying, but its nature. Types and representative rights and obligations are not clearly defined. As the situation of trademark ownership increases gradually, many problems arise, such as whether to limit the subject qualification of the joint owners of trademark rights, whether to obtain the consent of other joint owners when transferring the common trademark rights, and whether the rights and obligations of the joint owners of trademark rights are not clear. Based on the study of the theory of common ownership, this paper studies the ownership of trademark rights according to the following ideas: firstly, it analyzes the concept of common ownership, according to the provisions of Trademark Law, combined with the characteristics of trademark rights. This paper expounds the basic concept of trademark ownership, and holds that trademark ownership is the exclusive right of two or more civil subjects to jointly enjoy the same trademark through joint application. The concept of trademark coexistence and other confusing concepts are analyzed, and the common characteristics of trademark rights are analyzed. Compared with the common ownership in the traditional civil law and the individual ownership of the trademark right, the common ownership of the trademark right has its particularity, which is a kind of common ownership of the intellectual property right as well as the trademark right. Common trademark rights need to pay attention to the maintenance of the whole trademark, to the maintenance of goodwill and to avoid misleading consumers. In the case of common trademark rights, the qualifications of the joint owners are required, and the joint owners need to complete certain administrative registration acts, and the duration of the protection of the rights is different from that of other co-owners. Secondly, this paper analyzes and discusses the controversial issues of scholars, such as whether the ownership of trademark rights can be classified according to the provisions of common ownership, and analyzes and compares different viewpoints. The author holds that the common ownership of trademark rights can be divided into shared ownership by share and joint ownership. When the agreement of the parties is not clear, the common type of trademark rights is presumed to be shared by shares except for the identity relationship, and different common types need to follow different exercise rules. On the basis of this research, the paper discusses the exercise of trademark ownership, and studies the particularity of use, disposition and division of trademark ownership. Finally, based on the existing analysis, the existing problems are pointed out and the corresponding solutions are put forward. Some suggestions are put forward to perfect the relevant legal system, to establish some basic principles of common trademark rights, to establish the representative system and the system of registration and filing.
