论网络交易中的意思表示瑕疵

【摘要】：网络交易的风靡带来的不仅是生活、消费上的便捷,也产生了一系列法律上的问题。意思表示作为交易主体自由意志的体现,是网络交易中合同生效的基本要件之一。然而,由于网络交易中交易主体,交易标的的可信赖性、可证明性难以确定,往往导致交易主体在不确定、不清楚的情况下作出违背自己目的的意思表示,即意思表示瑕疵的出现。同时,网络的一些虚拟性、开放性等特点也使网络交易下的意思表示疵瑕发生的可能性大大增加,然而对于此种交易模式下意思表示瑕疵的研究和立法却始终无法与其发展的热潮相适应。网络交易中意思表示瑕疵的产生与网络交易的特性有着密不可分的关系,网络交易的概念、特征等的界定也对于网络交易意思表示瑕疵的理论的研究有着重要的影响。文章从网络交易的概念、类型、特征为切入点,对于意思表示瑕疵的范围做出清晰的界定。然后分析网络交易中意思表示瑕疵的特殊诱因以及其所包含的类型,进而得出符合其的效力模式:是效力待定,还是直接无效?并结合实践中比较热的网络交易案例展开分析,对网络交易中几个关键的问题进行论证,比如:无磋商模式下盲目的“是”与“否”选择是否是构成意思表示瑕疵?电子格式合同的广泛运用会不会导致较多的意思表示瑕疵,怎么去规制、救济等等。最后结合目前我国的实际状况,提出一些完善意见,以期对我国以后的立法工作有所帮助。网络交易是把双刃剑,需要积极完善的制度加以规制和引导,这样才能在减少意思表示瑕疵、维持交易安全稳定的同时,稳定而快速的发展。
[Abstract]:The popularity of online transactions brings not only the convenience of life and consumption, but also a series of legal problems. As the embodiment of the free will of the transaction subject, the expression of will is one of the basic elements of the effective contract in the network transaction. However, it is difficult to determine the reliability and verifiability of the subject matter of the transaction because of the transaction subject in the network transaction, which often leads the subject of the transaction to make an expression of intention contrary to his own purpose in the case of uncertainty and uncertainty. That is, the appearance of defects in the expression of will. At the same time, some characteristics of the network, such as virtual, open, etc., also increase the possibility of defects in the expression of meaning under the network transaction. However, the research and legislation on the defect of expression of will under this mode of transaction can not adapt to the upsurge of its development. There is a close relationship between the defects of expression of will and the characteristics of online transactions. The definition of concepts and characteristics of online transactions also has an important impact on the theoretical study of the defects of expression of will in network transactions. This paper makes a clear definition of the scope of the defects in the expression of intention from the perspective of the concept, type and characteristics of online transactions. Then it analyzes the special inducement and the type of the flaw in the meaning expression in the network transaction, and then comes to the conclusion that the validity mode accords with it: is the validity to be determined, or is it directly invalid? Combined with the analysis of the hot online transaction cases in practice, this paper demonstrates several key issues in the online transaction, such as: is the blind "yes" and "no" choice in the mode of non-negotiation constitute a flaw in the expression of meaning? Whether the wide use of electronic format contracts will lead to more defects in the expression of will, how to regulate, relief and so on. Finally, according to the actual situation of our country, some suggestions are put forward in order to be helpful to our country's future legislative work. The network transaction is a double-edged sword, which needs to be regulated and guided by an active and perfect system, so as to reduce the defects of the expression of intention, maintain the security and stability of the transaction, and develop steadily and rapidly at the same time.
