网络团购合同的法律问题分析

【摘要】：近年来,网络的发展,电子技术的腾飞,为我国开辟新的商业模式提供了广大的平台,网络购物在时代的温床上应运而生。而随着消费人群的广泛化,单向的网络购物发展成了更加群体性的商业活动,即网络团购。网络团购是一种基于网络的商业模式,作为商业模式中的新起之秀团购势头强劲,美团网、大众点评网,拉手网等团购网站迅速崛起,其依靠提供低于线下的零售价格和广泛的覆盖面,从而吸引了大批的消费者,成为现代网络购物中的一大力量。新事物的发展总是机遇与挑战并随,网络团购合同的性质不明,难以进行界定。网络团购合同中主体的划分,以及主体的责任也需要进一步的分析,针对网络团购中的违约问题,违约种类和责任以及容易令人忽视的小问题,包括原价格欺诈等都值得我们关注。新型合同的出现,关系之复杂有别于之前的普通合同,而我国立法在此方面还存在较大空白,实有研究之必要。本文从网络团购合同的定义入手,剖析其定义,特点,主体,违约方式情况,以及找出我国现阶段立法的不足与改进的方向,希望能对于网络团购的法制化健康化发展起到一定的积极作用。
[Abstract]:In recent years, the development of the network and the rapid development of electronic technology provide a vast platform for China to open up a new business model, network shopping in the hotbed of the times came into being. With the extensive consumption of people, one-way online shopping has developed into a more group of business activities, that is, online group buying. The online group purchase is a kind of business model based on the network. As a new emerging show in the business model, the group purchase has a strong momentum. Meituan, Dianping, handheld and other group-buying websites have risen rapidly. It relies on providing below-line retail prices and wide coverage, which attracts a large number of consumers and becomes a major force in modern online shopping. The development of new things is always opportunity and challenge, the nature of network group purchase contract is unclear, it is difficult to define. The division of the subject in the online group purchase contract and the responsibility of the subject also need further analysis, aiming at the breach of contract, the type and responsibility of breach of contract and the minor problems that are easy to be ignored. Including the original price fraud and so on are worthy of our attention. The appearance of new type contract, the complex relation is different from the common contract before, but our country legislates in this aspect still has the big blank, actually has the research necessity. This article starts with the definition of network group purchase contract, analyzes its definition, characteristics, main body, breach of contract situation, and finds out the deficiency and improvement direction of legislation at present in our country. I hope to play a positive role in the healthy development of the legal system of online group purchase.
