国际保理及其相关法律问题研究

【摘要】：当今随着国际贸易的迅速发展，世界买方市场进一步形成，在激烈的市场竞争中，国际贸易结算方式正经历一次变革，保理业务已取代信用证成为欧美国家主要的贸易结算工具。国际保理是集应收账款催收、出口贸易融资、销售分户账管理、信用销售控制与坏帐担保于一体的综合性金融服务。作为国际结算的发展趋势，国际保理对促进国际贸易的发展正发挥着越来越重要的作用。新业务的开展随之而来的是法律问题。笔者以传统的民商法理论为基础就国际保理的相关法律问题进行了初步探析，以期对建构国际保理的法律体系有所帮助。笔者主要从四方面进行论述：首先介绍了国际保理的起源与发展、概念与种类、运作流程与业务项目，分析了国际保理的法律特征和适用条件；其次，着重论述了国际保理的法律架构。关于国际保理的法律基础，目前学术界尚未形成统一的认识，笔者在讨论几种比较通行的观点的基础上，提出应收账款的转让是国际保理的法律基础，并进一步论证了应收账款转让的一些具体法律问题，包括：应收账款转让的法律要求、应收账款转让的对内、对外以及对第三人的法律效力等；再次，笔者对国际保理各方当事人的法律关系进行了分析；最后，，笔者在分析国际保理业务的应用优势与比较优势的基础上，论述了我国发展国际保理业务的必要性，并结合国际保理业务在我国的运作实践概况，分析了当前我国国际保理的立法现状，提出了发展我国国际保理的立法建议。
[Abstract]:With the rapid development of international trade, the world buyer's market is further formed. In the fierce market competition, the international trade settlement mode is undergoing a change. Factoring business has replaced letters of credit as the main trade settlement tool in Europe and the United States. International factoring is collection of accounts receivable collection export trade financing sales sub-account management. Credit sales control and bad debt guarantee as a comprehensive financial service. As the development trend of international settlement. International factoring is playing a more and more important role in promoting the development of international trade. The development of new business brings with it legal problems. Based on the traditional theory of civil and commercial law, the author deals with the relevant legal issues of international factoring. A preliminary analysis is carried out. In order to construct the legal system of international factoring. The author mainly discusses from four aspects: first, introduces the origin and development of international factoring, concept and category, operation process and business items, analyzes the legal characteristics and applicable conditions of international factoring; Secondly, it focuses on the legal framework of international factoring. On the legal basis of international factoring, the academic community has not yet formed a unified understanding, the author discusses several common views on the basis. This paper puts forward that the transfer of accounts receivable is the legal basis of international factoring, and further demonstrates some specific legal problems of the transfer of accounts receivable, including: the legal requirements of the transfer of accounts receivable and the internal aspects of the transfer of accounts receivable. External and the legal effect on the third party; Thirdly, the author analyzes the legal relationship of the parties involved in international factoring. Finally, on the basis of analyzing the application advantages and comparative advantages of international factoring business, the author discusses the necessity of developing international factoring business in China, and combines the general situation of international factoring business operation practice in China. This paper analyzes the current legislation status of international factoring in China, and puts forward some legislative suggestions for the development of international factoring in China.
