记名提单的物权凭证属性及放货问题之法律研究

【摘要】: 记名提单是指提单正面“收货人”一栏内载明特定的人的提单。由于大多数国家的法律规定它不可转让。因而它在国际贸易中使用场合有限,它的法律地位也远不及可转让提单。但是近年来随着国际贸易及海洋运输事业的发展,记名提单在海运实务中的普通货物运输中被大量使用,因而有关记名提单的争议和纠纷也日益增多。对于这些问题,各国有着不同的法律规定和实践做法。因此本文运用比较法学的研究方法结合各国的法律规定的司法实践展开论述。具体说来,本文主要讨论了我国《海商法》记名提单是不是物权凭证,以及记名提单下承运人是否应无单放货等几个问题,并提出笔者的一些看法。 全文共分四章。第一章首先简要介绍了记名提单的概念以及各国对于记名提单的相关法律规定。由于各国对此规定不同,因此笔者强调本文要讨论的记名提单的相关问题是在我国法律框架下进行。否则讨论将因法律背景的不确定而变得不可能。 第二章重点讨论记名提单是否为物权凭证的问题。首先分析了物权凭证的含义以及提单作为物权凭证的原因和条件。在此基础上,论述了我国法下记名提单是否具有物权凭证属性。 第三章对我国现行有关记名提单无单放货的法律机制进行分析和检讨。随着记名提单无单放货纠纷的增多,记名提单下承运人是否要凭单放货成为司法界、理论界关注的焦点。对于这个问题,当前存在很大争议。因此本文将其作为另一重点予以探讨。根据记名提单的属性,本文赞成记名提单下承运人无单放货的观点,并建议我国《海商法》做相应的修改。 第四章对修改我国海商法中有关记名提单的条款提出自己的一孔之见。本文最后特别关注了记名提单在我国的现状。笔者认为,我国《海商法》关于记名提单的规定存在不合理不完善之处,进而对《海商法》的修改提出若干建议。
[Abstract]:A straight bill of lading means a bill of lading indicating a particular person in the "consignee" column on the front of the bill of lading... since it is not transferable under the laws of most countries... its use in international trade is therefore limited, In recent years, with the development of international trade and maritime transportation, the registered bill of lading has been widely used in the practice of maritime transport of ordinary goods. As a result, disputes and disputes over registered bills of lading are also increasing. Different countries have different legal provisions and practice practices. Therefore, this paper uses the comparative law research method to discuss the judicial practice provided by the laws of various countries. This paper mainly discusses whether the registered bill of lading in China's Maritime Law is a document of title, and whether the carrier should release the goods without a bill of lading under the registered bill of lading, and puts forward some views of the author. This paper is divided into four chapters. The first chapter briefly introduces the concept of bill of lading and the relevant legal provisions of various countries for bill of lading. Therefore, the author emphasizes that the related issues of the bill of lading to be discussed in this paper are carried out under the legal framework of our country. Otherwise, the discussion will become impossible because of the uncertainty of the legal background. The second chapter focuses on whether the bill of lading is a document of title. Firstly, it analyzes the meaning of the document of title, the reasons and conditions of the bill of lading as a document of title. This paper discusses whether the registered bill of lading has the property of document of title under the law of our country. The third chapter analyzes and reviews the current legal mechanism of undocumented delivery of registered bills of lading in China. With the increase of disputes over the delivery of registered bills of lading, whether the carrier under the bill of lading wants to release goods on bills of lading has become a judicial field. The focus of attention in the theoretical circle. There is a great deal of controversy about this problem. Therefore, this paper discusses it as another important point. According to the property of the bearer bill of lading, this paper agrees with the viewpoint that the carrier does not release the goods without bill of lading under the bearer bill of lading. It is suggested that China's Maritime Law should be amended accordingly. Chapter 4th puts forward his own opinion on the amendment of the articles on bill of lading in maritime law of our country. Finally, this paper pays special attention to the present situation of bill of lading in our country. There are some unreasonable and imperfections in the regulation of registered bill of lading in Maritime Law of China, and some suggestions are put forward for the amendment of Maritime Law.
