提单并入条款若干法律问题研究

【摘要】：提单条款的内容及其效力直接关系到提单各关系方享有的权利和承担的义务。在国际海上货物运输实践中,根据航次租船合同签发的提单,通常含有使用简单的措辞援引租船合同内容的条款,这就是提单中的并入条款。作为海商法中的灰色区域,提单并入条款常常引起争议。本文试图借鉴英美国家长期积累的成功经验,并结合我国在这一问题上的立法规定和司法实践,对提单并入条款问题作一初步的探讨。全文分为四章。第一章对提单并入条款作了简单概述,主要介绍了提单并入条款的由来与含义,阐明了提单与海上货物运输合同的关系,并对提单并入条款的当事人这一问题进行了分析。第二章是对提单并入条款内容的研究。不同形式的提单并入条款所能涵盖的租船合同的内容也不相同,本章首先探讨了提单并入条款的形式问题。由于对提单并入条款的解释直接涉及到租船合同内容能否有效并入提单,本章接下来分析了提单并入条款的解释原则。随后,文章对提单并入条款所能涵盖的租船合同的具体内容进行了阐述,同时基于租船合同仲裁条款的特殊性,本章最后对租船合同仲裁条款有效并入提单的要求进行了分析。第三章分析了提单并入条款的法律效力。本章首先结合英美法经验,阐明了提单并入条款生效的要件,并分析了提单并入条款的效力,同时对我国海商法第95条的规定进行了探讨,最后对提单并入条款的法律适用和诉讼时效进行了简要分析。第四章是对完善我国提单并入条款相关法律的研究。本章首先分析了我国海商法关于提单并入条款规定的不足及其在适用中的矛盾之处,然后对我国仲裁法中与国际海事仲裁实践的不协调之处进行了探讨,本章最后对我国提单并入条款相关法律的完善及途径提出了建议。
[Abstract]:The content and effect of the terms of the bill of lading are directly related to the rights and obligations of the parties to the bill of lading. In the practice of international carriage of goods by sea, the bill of lading issued under the voyage charter party, There is usually a clause that uses simple language to invoke the content of the charter party, which is the incorporation clause in the bill of lading... as a grey area in maritime law, The incorporation clause of bill of lading is often controversial. This paper attempts to draw lessons from the successful experience accumulated by the United States and the United States for a long time, and combine the legislative provisions and judicial practice of our country on this issue. This paper makes a preliminary discussion on the incorporation clause of bill of lading. The full text is divided into four chapters. The first chapter gives a brief summary of the clause of incorporation of bill of lading, mainly introduces the origin and meaning of the clause of incorporation of bill of lading, clarifies the relationship between bill of lading and contract of carriage of goods by sea, and analyses the problem of the parties involved in the clause of incorporation of bill of lading. The second chapter is the research on the content of the consolidation clause of bill of lading. The content of charter party which can be covered by different forms of consolidation clause of bill of lading is also different. This chapter first discusses the form of the bill of lading incorporation clause. Since the interpretation of the bill of lading incorporation clause directly relates to whether the charter party content can be effectively incorporated into the bill of lading, this chapter then analyzes the interpretation principle of the bill of lading incorporation clause. Based on the particularity of the arbitration clause of charter party, this chapter finally analyzes the requirement that the arbitration clause of charter party can be effectively incorporated into bill of lading. The third chapter analyzes the legal effect of the bill of lading incorporation clause. Firstly, this chapter clarifies the requirements of the bill of lading incorporation clause, and analyzes the effect of the bill of lading incorporation clause. At the same time, the article 95 of the maritime law of our country is discussed, and the application of the law and the statute of limitations of the bill of lading are analyzed briefly. The fourth chapter is a study on the perfection of the relevant laws on the incorporation of bills of lading in China. Firstly, this chapter analyzes the deficiencies of the provisions on the incorporation of bills of lading in China's maritime law and the contradictions in their application. Then it discusses the incongruity between the arbitration law of our country and the practice of international maritime arbitration. At the end of this chapter, the author puts forward some suggestions on the perfection and ways of the relevant law of incorporation clause of bill of lading in our country.
