提单仲裁条款效力研究

【摘要】: 海事仲裁不但具备一般仲裁所有的保密性、协商性和一局终裁等优点外,还适应了海事争议的专业性、复杂性等特点,因此一经出现就受到航运界的欢迎,成为在海上货物运输领域除诉讼之外的另外一种重要的争端解决机制。我国海事仲裁起步于五十年代初,经过近半个世纪的发展,我国海事仲裁业已初具规模,但是与国外相比,我国海事仲裁还显得非常稚嫩。这其中的原因是多方面的,但是不可否认,我国立法、司法和航运实务界对提单仲裁条款效力认识上的不一致已经成为阻碍我国海事仲裁进一步发展的重要因素。这是笔者写作本文的动机。本文的论证思路是:首先,探讨了提单仲裁条款的特殊性和提单仲裁条款与海上货物运输合同的关系;之后总结了相关国际公约/文件和英、美等国家在这一问题上的态度和做法;再次,重点探讨提单仲裁条款的效力;最后笔者针对我国法律在这一问题上的不足之处,提出自己的一些粗浅建议。。 本文的篇章结构和各章提要如下: 引言部分介绍本文的研究目的、国内外研究现状、以及笔者的写作思路.。 第一章为提单仲裁条款概述.本章共分为三节。第一节和第二节简要介绍了什么是班轮提单仲裁条款和租船提单仲裁条款。第三节探讨了提单仲裁条款的影响。第四节阐述了提单仲裁条款与海上货物运输合同的关系。 第二章为国际公约/文件和英、美等国家在该问题上的法律规定或司法态度.本章分为三节,第一节是相关国际公约/文件对提单仲裁条款的态度;第二节英国、美国等国家在提单仲裁条款效力问题上的观点。 第三章是本文的核心部分。在这一部分,笔者主要通过比较研究的方法,系统阐述了自己在这一问题上的看法。本章分为三节,第一节笔者阐述了否定说立论的三个理由,之后对其进行了评悉;第二节笔者阐述了肯定说立论的两个理由,并对其在租约提单仲裁条款上的不合理做法进行了分析和批驳。第三节笔者在对肯定说和否定说批判的继承基础上,笔者确立了自己的观点。最后,笔者进行了小结。 第四章论述的是,在提单仲裁条款效力问题上,我国相关法律的不足和完善。总共分为两节,第一节论述的是在提单仲裁条款效力问题上,我国《仲裁法》、《海商法》的不足之处以及最高人民法院“征求意见稿”的部分内容。第二节是针对上述问题,笔者提出的修改性或完善性建议。 结语。
[Abstract]:This paper discusses the particularity of the arbitration clause of bill of lading and the relationship between the arbitration clause of the bill of lading and the contract of maritime cargo transportation . The reason of this paper is : Firstly , it discusses the particularity of the arbitration clause of bill of lading and the relationship between the arbitration clause of bill of lading and the contract of maritime cargo transportation .


The text structure and chapters of this paper are summarized as follows :


The introduction part introduces the research purpose of this paper , the research situation at home and abroad , and the author ' s writing thinking .


Chapter One is an overview of the arbitration clause of bill of lading . This chapter is divided into three sections . The first and second sections briefly introduce what is the arbitration clause of the liner bill of lading and the arbitration clause of the charter party B / L . The third section discusses the influence of the arbitration clause of the bill of lading . The fourth section deals with the relationship between the arbitration clause of the bill of lading and the contract of carriage of goods by sea .


Chapter II is an international convention / document and the legal or judicial attitude of States such as Britain and the United States on the issue . This chapter is divided into three sections , the first is the attitude of the relevant international conventions / documents on the arbitration clause of the bill of lading , and the second section views the validity of the arbitration clause of the bill of lading in the UK and the United States .


Chapter Three is the core part of this paper . In this part , the author mainly through the comparative study method , the system expounds its own views on this question . This chapter is divided into three sections , the first section explains the three reasons for the denial of the theory of the theory , then makes an analysis and refutation of the unreasonable practice on the arbitration clause of the lease bill of lading .


The fourth chapter discusses the deficiency and perfection of the relevant laws of our country on the issue of the validity of the arbitration clause of the bill of lading .
