完善公司法人治理机制的有益探索——简论日本设置委员会公司制度

【摘要】：日本在其商法制度发展百余年的基础上,制定颁布了日本历史上的第一部公司法典。日本新公司法创设了诸多新制度,其中在原商法基础上修改完善、重新创设的设置委员会公司制度,可谓是完善公司法人治理机制的有益探索,对完善我国公司法制度、建立健全公司法人治理机制有借鉴价值。
[Abstract]:On the basis of the development of its commercial law system for more than 100 years, Japan formulated and promulgated the first corporate code in the history of Japan. Japan's new company law has created many new systems, among which the establishment of a committee company system based on the original commercial law and re-creation is a useful exploration to perfect the corporate governance mechanism of the company, and to perfect the company law system of our country. To establish and improve the corporate governance mechanism has reference value.
