国企出售与债务承担问题探讨

【摘要】：企业整体出售是国有企业改制的一种重要手段,企业出售实质上就是各国商法中的营业转让。我国关于国企出售后债务承担的相关规定有悖于法理,亟须修改和完善。
[Abstract]:The whole sale of enterprises is an important means of reforming the state-owned enterprises. In essence, the sale of enterprises is the business transfer in the commercial law of various countries. The relevant regulations on the debt commitment after the sale of state-owned enterprises in China are contrary to the legal theory and need to be amended and perfected urgently.
