【摘要】：公司监事会制度是公司法人机关权力制衡机制的重要组成部分,是维护公司健康、稳定发展的保证。然而,在现实经济生活中,由于观念、体制和立法等因素的影响,我国公司监事会的功能难以发挥,甚至产生监事会虚化现象。本文在全面分析公司监事会制度产生的理论依据和价值功效的基础上,从比较分析各国监事会制度、以及监事会制度与独立董事制度的差异入手,继而探讨我国监事会制度虚化现象产生的根源,试图提出完善我国公司监事会制度的立法对策,以期能为我国企业公司化改造和建立现代企业制度提供有力的保障。
[Abstract]:The system of company board of supervisors is an important part of the power balance mechanism of the corporate organ and the guarantee of maintaining the company's health and steady development. However, in the real economic life, due to the influence of concept, system and legislation, the function of the board of supervisors in our country is difficult to play, and even produces the phenomenon of false board of supervisors. Based on a comprehensive analysis of the theoretical basis and value efficacy of the system of the board of supervisors, this paper begins with a comparative analysis of the system of the board of supervisors in various countries and the differences between the system of the board of supervisors and the system of independent directors. Then it probes into the root of the phenomenon of the deficiency of the board of supervisors system in our country, and tries to put forward the legislative countermeasures to perfect the system of the board of supervisors of the company in our country, in order to provide the powerful guarantee for the reformation of the corporation and the establishment of the modern enterprise system in our country.
