论竞业禁止与劳动权保护的冲突和平衡

【摘要】:在市场经济条件下,竞业禁止与劳动权的冲突时有发生,竞业禁止是保护商业秘密权和社会公共利益的法律手段,又是导致劳动权与上述两个法益冲突的重要原因。本文通过比较研究,肯定了竞业禁止制度的意义和存在价值,通过对竞业禁止涉及的矛盾和冲突的成因及实务问题分析,首先确立了平衡冲突的三个原则:社会利益最大化原则、倾斜保护原则、合理限制原则,并结合了域外的立法经验,提出了一系列的完善建议。针对我国竞业禁止法律规范凌乱,原则性强,缺乏灵活性和可操作性的问题,提出统一竞业禁止相关立法,细化竞业禁止相关规定,增强指导性,对竞业禁止的范围、主体、法律救济、经济补偿金等进行规范,以增强司法实务中的可操作性。针对法律对竞业禁止协议的形式和有效要件缺乏规制的情况,提出竞业禁止协议应当以采取书面形式和必须包含经济补偿条款为必要生效要件。针对我国立法对竞业禁止的法律定位不清导致救济方式混乱以及立法混乱的问题,提出要明确立法目的,明确竞业禁止协议的性质,提高行政救济效力,发挥社会团体力量等。针对劳动者因受到竞业禁止协议的限制而得不到合理补偿的问题,提出要细化经济补偿的相关规定,如如何计算经济补偿金额等。
[Abstract]:Under the condition of market economy, the conflict between the prohibition of competition and the right of labor occurs from time to time. The prohibition of competition is the legal means to protect the right to trade secret and the public interest of society, and it is also an important reason leading to the conflict between the right of labor and the two legal interests mentioned above. Through comparative study, this paper affirms the significance and existence value of the non-compete system, and analyzes the causes and practical problems of the contradictions and conflicts involved in the prohibition of competition. Firstly, three principles of balancing conflict are established: the principle of maximization of social benefits, the principle of tilt protection, the principle of reasonable restriction, and a series of perfect suggestions are put forward in combination with the legislative experience of foreign countries. In view of the problems of disorderly, strong principle, lack of flexibility and maneuverability of the legal norms of the prohibition of non-competition in China, this paper puts forward a unified legislation on the prohibition of non-competition, the refinement of the relevant provisions of the prohibition of non-competition, the enhancement of guidance, the scope and the subject of the prohibition of non-competition. Legal relief, economic compensation and other norms to enhance the operation of judicial practice. In view of the lack of legal regulation on the form and effective elements of non-compete agreement, this paper puts forward that the non-competition agreement should take written form and must contain economic compensation clause as the necessary effective elements. In view of the confusion of the legal position of the legislation on the prohibition of non-competition in our country and the confusion of the legislation, it is proposed that the purpose of legislation should be clarified, the nature of the non-compete agreement should be clarified, the effectiveness of administrative relief should be improved, and the strength of social organizations should be brought into full play. In view of the problem that the laborer can not get reasonable compensation because of the restriction of non-competition agreement, this paper puts forward some relevant regulations to refine the economic compensation, such as how to calculate the amount of economic compensation, etc.
