营利性养老机构退出法律制度研究

【摘要】：随着国家的政策鼓励,营利性养老机构迎来了发展的春天。虽然我国的营利性养老机构仍处于发展的初级阶段,但是任何机构都可能面临从生到死的过程,营利性养老机构也会经过“市场准入-机构运营-退出市场”的三个阶段。目前包括营利性养老机构在内的所有的养老机构的相关立法只对养老服务机构的准入和管理做了规定,营利性养老机构的退出问题,缺乏统一、具体的规定,营利性养老机构如何退出市场,退出市场时入住老人的正当权益应当如何保护等问题没有明确的立法依据。目前国内关于营利性养老机构退出制度的专题研究并不多,文献资料十分匮乏。笔者从营利性养老机构组织形式、服务对象、服务内容、退出方式等角度出发,探讨营利性养老机构退出时面临的相关问题,分析营利性养老机构退出制度的设定目标和原则,提出建立评估制度、建立信息披露制度、完善安置方案和推广养老机构强制责任险的完善建议。本文共有四个部分：第一部分主要探讨了营利性养老机构的含义和组织形式,营利性养老机构退出的含义和方式,以及营利性养老机构退出的特殊性。通过分析营利性养老机构退出制度的基本概念和现状,对下文营利性养老机构退出制度的目标设定和原则设定提供研究基础。第二部分探讨了营利性养老机构退出法律制度的现状。根据营利性养老机构退出时面临的相关问题,分析了营利性养老机构退出法律制度的评价目标,提出退出制度的评价目标是为了保护老人的合法权益和维护养老服务市场的秩序。从保护老人合法权益角度出发,需要重视老人安置和养老机构退费的问题；从维护养老服务市场秩序的角度出发,退出制度主要是为了保证营利性养老机构有序退出,实现养老服务市场良性竞争。第三部分研究的是完善营利性养老机构退出制度的基本原则。由于营利性养老机构的退出不仅体现民商法的意思自治,更具有经济法的国家宏观管理色彩,因而在完善退出制度时,需要遵循资源优化配置、国家适度干预和维护社会公益的基本原则。第四部分主要探讨完善营利性养老机构退出制度的建议。养老机构评估制度的设立主要以解决营利性养老机构的退出标准问题,使养老机构的退出有具体的依据；养老机构信息披露制度是为了使老人和监管机构能够监测养老机构的动态,减少养老机构的风险,提高入住老人的风险防范能力；细化安置方案的主要目的是为了保护老人的合法权益,防止由于安置方案过于宏观而导致的老人权利被侵害,也可以减少老人迁居的负面影响；养老机构责任保险的功能也是为了降低养老机构的养老风险,维护了养老市场的秩序,间接保护了老人的合法权利；政府接管制度是为了避免营利性养老机构退出时出现的无序状态,政府接管后可将养老机构进行整顿并为其寻找新的经营者,保证养老机构各种资源的有效利用。
[Abstract]:With the encouragement of the policy of the state, profit - making pension institutions are in the spring of development. Although the for-profit pension institutions in China are still in the primary stage of development, any organization may face the process from birth to death, and the profit - making pension institutions will pass through the three stages of "market access - machine operation - exit the market". All the relevant legislation of the pension institutions, including the for-profit pension institutions, only stipulates the access and management of the old-age service institutions, the problem of the withdrawal of the for-profit pension institutions, the lack of unity and specific regulations, how to withdraw from the market, and how to protect the legitimate rights and interests of the old people when they exit the market. There is no clear legislative basis. At present, there are not many special studies on the withdrawal system of profit - making pension institutions in China, and the literature is very scarce. From the point of view of the organization form, the service object, the service content and the way out of the for-profit pension institution, the author discusses the related problems faced by the for-profit old institution and analyzes the profit. The objectives and principles of the retirement system are set up, and the evaluation system is set up, the information disclosure system is set up, the resettlement scheme and the promotion of the compulsory liability insurance for the pension institutions are improved.
There are four parts in this paper.
The first part mainly discusses the meaning and organization of profit - making pension institutions, the meaning and mode of the withdrawal of profit - making pension institutions, and the particularity of the withdrawal of profit - making pension institutions. Through the analysis of the basic concepts and status quo of the withdrawal system of profit - making pension institutions, the objective setting and the original of the withdrawal system of the pension institutions below are set and original. It is set up to provide the basis for research.
The second part discusses the current situation of the withdrawal of the legal system for the profit - making pension institutions. According to the related problems faced by the for-profit pension institutions, this paper analyzes the evaluation target of the withdrawal of the for-profit pension institutions from the legal system, and puts forward that the evaluation target of the withdrawal system is to protect the legitimate rights and interests of the elderly and maintain the order of the service market for the aged. From the angle of protecting the legitimate rights and interests of the elderly, it is necessary to pay attention to the problems of the elderly resettlement and the refund of the pension institutions. From the point of view of maintaining the order of the old-age service market, the withdrawal system is mainly to ensure the orderly withdrawal of the profit - making pension institutions and achieve a benign competition in the service market for the aged.
The third part studies the basic principle of perfecting the withdrawal system of the profit oriented pension institution. Because the withdrawal of the for-profit pension institution not only embodies the autonomy of the civil and commercial law, but also has the national macro management color of the economic law, it is necessary to follow the optimal allocation of resources, intervene and maintain social public welfare in a proper way when the system is perfected. The fourth part mainly discusses the suggestions to improve the withdrawal system of the for-profit pension institution. The establishment of the pension institution is mainly to solve the problem of the withdrawal standard of the for-profit pension institution, and make the retirement institution have a specific basis. The information disclosure system of the old-age institution is designed to enable the elderly and the regulatory agencies to monitor the pension institutions. The main purpose of the resettlement scheme is to protect the legitimate rights and interests of the elderly, to prevent the rights of the elderly from being infringed on, and to reduce the negative effects of the elderly's relocation; the function of the pension institution liability insurance is also the main purpose of the plan. It is to reduce the pension risk of pension institutions, maintain the order of the old-age market and indirectly protect the legitimate rights of the elderly.
