基于“新三板”挂牌A公司股改方案的设计与实施

【摘要】:“新三板”市场的主要任务是为创新型中小微企业提供服务的第三家全国性证券交易场所,承担着中小微企业发展壮大的重任。通过“新三板”的挂牌,可以帮助创新型公司实现股权结构的多元化、法人治理结构的规范化。所以很多中小型企业通过改革发展成为股份制公司,并希望能够在“新三板”成功挂牌,实现公司跨越式的发展。A公司在经营管理中存在较多弊端,尤其是公司股权结构单一、持股比例不合理和法人治理结构不完善等问题,严重影响了A公司的发展。因此本文选取A公司股份制改革方案的设计与实施为研究对象,在梳理A公司的概况、经营现状的基础上,提出了A公司股份制改革的必要性,并设计了A公司股份制改革的方案,重点完成了股权结构、配套法人治理结构的设计。通过A公司股份制改革方案的实施,论文总结了国有资产流失、同业竞争、土地及房屋所有权、员工观念转变等难题的破解过程及方式。通过对A公司股份制改革方案的设计与实施,希望为其他公司在“新三板”挂牌前股份制改革方面提供实践启示。
[Abstract]:The main task of the "New third Board" market is to provide services for innovative small and medium-sized enterprises, the third national securities exchange, and bear the responsibility of the development and growth of small and medium-sized enterprises. The listing of "new three boards" can help innovative companies to realize the diversification of ownership structure and the standardization of corporate governance structure. Therefore, many small and medium-sized enterprises have developed into joint-stock companies through reform, and they hope to be listed successfully on the "new third board", and to realize the leapfrog development of the company. A company has many drawbacks in its management, especially the single ownership structure of the company. Unreasonable shareholding ratio and imperfect corporate governance structure have seriously affected the development of company A. Therefore, this paper selects the design and implementation of A company's shareholding system reform scheme as the research object, on the basis of combing A company's general situation and management present situation, it puts forward the necessity of A company's stock system reform. And designed A company stock system reform plan, has completed the ownership structure emphatically, the supporting legal person governance structure design. Through the implementation of company A's shareholding system reform, the paper summarizes the process and methods of solving the problems of state-owned assets loss, peer competition, land and house ownership, and employee concept change. Through the design and implementation of the shareholding system reform scheme of Company A, the author hopes to provide practical enlightenment for other companies in the reform of the shareholding system before the listing of the "New third Board".
