连锁超市买方垄断行为的法律规制

【摘要】：当前,在中国商业经济中,连锁超市是国民经济的重要组成部分。受销售市场结构体系的影响,连锁超市买方垄断现象日趋严重,由于连锁超市占据终端的市场销售渠道、便利的地理位置、成熟的商业圈和大规模的卖场,在零供市场中占有市场支配地位。连锁超市通过滥用其占有的市场支配地位追逐正常经营之外的利益,具体行为有滥收通道费、限定价格、不合理的占用供货商的资金,以及其他一系列的不正当手段。这些垄断行为不但使连锁超市与供应商之间的供销矛盾日益加剧,而且伤害了连锁超市同业竞争者的利益和消费者的权利,破坏了《反垄断法》所维护的公平竞争的市场经济秩序。本文以连锁超市买方垄断行为所涉及的法律问题为主要内容,通过现实生活中所发生的具体案例为引导,从以下几个方面进行分析:第一章,首先以两个案例入手引发出连锁超市滥用市场支配地位行为导致的零供冲突的现象,进而分析连锁超市市场支配地位形成的原因及对社会公平竞争所造成的危害,如滥收通道费、长期占用供货商货款等方面,依据我国《反垄断法》,得出对其滥用市场支配地位的行为加以法律规制的必要性。第二章,对连锁超市买方垄断行为产生的后果,从反垄断法的角度进行了积极和消极的影响性分析,具体分析了对供应商、连锁超市的同业竞争者、消费者的消极影响;最后分析了欧盟、美国及其他国家对市场支配地位的认定方法及其对滥用市场支配地位的界定。第三章,首先分析了连锁超市买方垄断行为的四个构成要件,阐述了连锁超市滥用市场支配地位的行为违反了反垄断法的禁止性规定,具体表现包括:收取不合理的通道费、价格限制、歧视待遇、拖欠供应商货款,最后根据其造成的危害提出了针对性的规制措施。第四章,通过我国连锁超市买方垄断行为的现状分析我国法律规制的不足,如规制过于原则性、处罚力度轻、多部门联合执法导致效率低下。最后根据连锁超市买方垄断行为在实践中存在的一些问题,提出了可供参考的完善性建议。
[Abstract]:At present, in the Chinese commercial economy, the supermarket chain is an important part of the national economy. Influenced by the structure of the sales market, the buyer monopoly of the supermarket chain is becoming more and more serious. As the supermarket chain supermarkets occupy the marketing channels of the terminal, the convenient geographical position, the mature business circle and the large-scale selling field, the supermarket chain is occupied in the zero supply market. Market dominance. Chain supermarkets pursue the interests other than normal operation by abusing their dominant market position. The specific behavior has indiscriminate channel fees, limited price, unreasonable occupation of suppliers' funds, and a series of other improper means. These monopolies not only make supply and marketing spears between chain supermarkets and suppliers. The shield is increasingly aggravating, and it has hurt the interests of the competitors of the chain supermarket and the rights of the consumers, and destroyed the market economy order of the fair competition maintained by the antitrust law. The following aspects are analyzed in the following aspects: the first chapter, starting with two cases, initiates the phenomenon of zero supply conflict caused by the abuse of market dominance in supermarket chains, and then analyzes the reasons for the formation of the dominant position in the supermarket chain market and the harm to the social fair competition, such as the overcharge of channel fees, the long-term occupation of the supply of suppliers and so on. On the basis of China's "antitrust law", the necessity of legal regulation for the abuse of the dominant position of the market is obtained. The second chapter, the consequences of the chain supermarket buyer monopoly behavior, the positive and negative impact analysis from the angle of antitrust law, and the specific analysis of the suppliers, the chain supermarket competitors, consumption. In the end, the third chapter analyzes the four constituent elements of the buyer monopoly of the supermarket chain, and expounds that the abuse of the dominant market position of the supermarket chain is a violation of the prohibition of antitrust law. The specific performance includes: collecting unreasonable channel fee, price restriction, discrimination treatment, defaulting on the payment of suppliers, and finally putting forward specific regulation measures according to the harm caused by it. The fourth chapter analyzes the shortage of our country's legal regulation through the present situation of the buyer monopoly behavior of our supermarket chain supermarket, for example, the regulation is too principled, and the punishment is punished. In the light of light strength, multi department joint law enforcement leads to low efficiency. Finally, based on some problems existing in the practice of buyer monopoly in supermarket chains, some suggestions for reference are put forward.
