法律移植的范式

【摘要】：法律移植是人类法律进步,法律文化互动与交融的一种主要形式,我国在建立社会主义法制体系过程中也具有重要意义。目前法律移植相关理论已逐渐被多方学者所热烈讨论。国人开始用理性的目光,重新审视自身和周围的世界,在这一宏观背景下,法律必将发生而且已经发生了全方位的适应性变革。当今全球一体化的脚步势不可挡,全球化的法律发展,并存着几种取向：法律本地化取向、超国家法和去国家化取向。因此在这种全球化的法律发展体现了多元化的属性,其中既存在不同国家和地区的本地法保留与发展,也存在本地法之间的协调与统一,既有致力于通行世界范围的涉外商业交易的国际统一私法,也有适用于大部分地区的“超国家法”。这就要求我们考察法律发展方向时,不但要把眼光放在属于不同法系的国家和地区的法律中,也应当考虑法系之间的相互融合与影响。本文以我国公司法对美国法中公司董事勤勉义务相关规定的移植为视角,探讨了法律移植的范式的相关问题,当代中国法律移植的方式已经发生变化,分散性移植成为一种主要的法律移植方式,一些法律具有混合性特征,这带来了法律的-致性问题,对法律的适用提出了新的挑战。
[Abstract]:Legal transplantation is one of the main forms of human legal progress, interaction and blending of legal culture. China is also of great significance in the process of establishing a socialist legal system. At present, the relevant theories of legal transplantation have gradually been discussed by many scholars. Chinese people have begun to re-examine themselves and the world around them with rational eyes. In this macro background, the law will take place and has already taken place the all-around adaptive transformation. Nowadays, the pace of global integration is unstoppable, and the legal development of globalization coexists with several orientations: localization of law, localization of law. Therefore, the legal development of this kind of globalization reflects the pluralistic attribute, in which there exists not only the reservation and development of local laws in different countries and regions, but also the coordination and unification of local laws. There are not only international uniform private law devoted to worldwide commercial transactions involving foreign affairs, but also "supranational laws" applicable to most regions. This requires us to examine the direction of the development of the law. We should not only look at the laws of countries and regions belonging to different legal systems, but also consider the mutual integration and influence between them. This paper probes into the related problems of the paradigm of legal transplantation. The mode of legal transplantation in contemporary China has changed, and decentralized transplantation has become a major mode of legal transplantation, and some laws have mixed characteristics. This brings about legal-causing problems and poses new challenges to the application of the law.
