中美外资并购立法宗旨之比较

【摘要】：美国外资并购立法宗旨可概括为"限制外资并购",借以维护美国国家安全利益和职工就业利益。而我国外资并购立法宗旨是"鼓励外资并购",其维护的利益虽然也涉及国家安全利益和职工就业利益,但在并购前提、利益保护范围、保护力度和措施以及政府作为义务等均与美国立法宗旨存在很大差异。我国外资并购立法宗旨应立足于国家、企业、职工的长远利益和根本利益,把"鼓励外资并购"改为"限制外资并购";对外资并购进行严格审查以"确保国家安全"和维持目标企业职工已有就业并增加新就业;设立外资并购联合审查委员会;赋予目标企业职工听证权和参与并购决策权。
[Abstract]:The legislative purpose of foreign capital merger and acquisition in the United States can be summarized as "restricting foreign capital merger and acquisition" in order to safeguard the national security interests of the United States and the employment interests of employees. The legislative purpose of foreign capital M & A in China is to "encourage foreign capital M & A". Although the interests of its maintenance also involve the interests of national security and the employment of workers, the interests of M & A are protected on the premise of M & A, and on the scope of interest protection. The strength and measure of protection and the duty of government are very different from the legislative purpose of the United States. The legislative purpose of foreign capital merger and acquisition in China should be based on the long-term interests and fundamental interests of the state, enterprises and workers. Replace "encourage foreign capital M & A" with "restrict foreign capital merger and acquisition"; carry on strict examination to foreign capital merger and acquisition to "ensure national security" and maintain the target enterprise staff and workers to have employment and increase new employment; set up foreign capital merger and acquisition joint examination committee; Give target enterprise employee hearing right and right to participate in M & A decision.
